  1. SilverSun Licensing Agreement For ON HAND CD-ROM

By ordering this software product, you are agreeing to be bound by the terms of this agreement.  Do not order this software until you have carefully read and agreed to the following terms and conditions.  If you do not agree to the terms of this agreement, do not order this software product.  If you order this software, you will be bound by the terms of this agreement.

  5. License:  SilverSun grants you a non-exclusive, non-transferable license to use the software program (the "Software") you are about to order.  You will not use, copy, modify, rent, sell or transfer the Software or any portion thereof except as provided in this agreement.

  7. You may:

  9. 1.  Use the Software on only one computer at any given time;
  10. 2.  Copy the Software solely for back-up or archival purposes.
  11.  
  12. Restrictions:

  14. You WILL NOT:

  16. 1.  Use the Software or cause the Software to be used on more than one computer at the same time including using the software across a network system;
  17. 2.  Sublicense the software.
  18. 3.  Reverse engineer, decompile or disassemble the Software.
  19. 4.  Copy the Software except as provided by this Agreement.
  20. 5.  Permit simultaneous use of the Software by more than one user.

  22. Transfer:  The Software is intended for your personal use with your personal computer(s).  Your license to use the Software is not transferable.

  24. Ownership and Copyright of Software:  The Software is the property of SilverSun, Incorporated, 100 Jersey Avenue, D-1, New Brunswick, New Jersey, 08901.  The Software is copyrighted and is protected by the United States copyright laws and international treaty provisions.  You will not remove the copyright notice from the Software.  You agree to prevent any unauthorized copying of the Software.

  26. Disclaimer:  The Software is provided "AS IS" without any warranty of any kind.

Limitation of Liability:  The Software is provided with no warranties of any kind either express or implied including warranties of merchantability or fitness for any particular purpose.  Neither SilverSun nor its vendors shall be liable for any loss of profits, loss of use, interruption of business, nor for indirect, special, incidental, or consequential damages of any kind whether under this agreement or otherwise.  Termination of this License:  SilverSun may terminate this license at any time if you are in breach of any of its terms and conditions.  Upon terminmation, you will immediately destroy the Software or return all copies of the Software and documentation to SilverSun along with any copies you have made.

  30. Applicable Law:  This Agreement is governed by the laws of the State of New Jersey and the United States, including patent and copyright laws.  Any claim arising out of this Agreement will be brought in Middlesex County, New Jersey.
