  1.                      EMPLOYEE INVENTION AGREEMENT

  8.      FOR GOOD CONSIDERATION, and in consideration of the
  9. undersigned being employed by_ [Company]; the undersigned
  10. hereby agrees, acknowledges and represents:
  11.      1. The undersigned, during the course of employment, shall
  12.         promptly disclose in writing to the company all
  13.         inventions, discoveries, improvements, developments
  14.         and innovations whether patentable or not, conceived
  15.         in whole or in part by the undersigned or through
  16.         assistance of the undersigned, and whether conceived
  17.         or developed during working hours or not, which:
  18.         a] Result from any work performed on behalf of
  19.            Company, or pursuant to a suggested research
  20.            project by the Company, or
  21.         b] Relate in any manner to the existing or contemplated
  22.            business of the Company, or
  23.         c] Result from the use of the Company's time, material,
  24.            employees or facilities.
  25.      2. The undersigned hereby assigns to the Company, its
  26.         successors and assigns, all right, title and interest
  27.         to said inventions.
  28.      3. The undersigned shall, at the Company's request,
  29.         execute specific assignmnets to any such invention and
  30.         execute, acknowledge, and deliver any additional
  31.         documents required to obtain letters patent in any
  32.         jurisdiction and shall, at the Company's request and
  33.         expense, assist in the defense and prosecution of said
  34.         letters patent as may be required by Company.  This
  35.         provision shall survive termination of employ with the
  36.         Company.
