  17. According to a press release issued today, Sega Enterprises, Ltd. is
  18. plunging nearly $90 million into Atari Corporation. $50 million to
  19. come from direct payments for worldwide access to Atari Corporation
  20. videogame patents for several years. The remaining $40 million will
  21. come from a purchase of 4.7 million shares of Atari common stock.

  23. To quell all rumors, this is -not- a "buyout" of Atari Corporation.
  24. The size of stock purchased is 7.4 percent of total Atari Corporation
  25. stock.

  27. In the same joint press release, the two videogame giants announced
  28. that they may come to agreement on cross-platform title licensing in
  29. the future.

  44.     SEGA AND ATARI ANNOUNCE LONG-TERM LICENSING AGREEMENTS, EQUITY
  45.                  INVESTMENT, AND RESOLUTlON OF DISPUTES

  47. SUNNYVALE, Calif. (September 28, 1994) -- Sega Enterprises, Ltd., and
  48. Atari Corporation (AMEX:ATC) announced today an affiliation that
  49. includes several agreements designed to serve as the basis of future
  50. working arrangements between the two video game manufacturers.
  51.  
  52. Under the terms of the agreements:
  53.  
  54.   - Sega will receive worldwide, non-exclusive rights with certain
  55. exceptions to Atari's extensive library of patents, a number of which
  56. extend beyond the turn of the century. The agreement covers Sega, its
  57. subsidiaries, its licensees, and its customers for more than 70 U.S.
  58. patents and applications, for a fully prepaid royalty to Atari
  59. covering the remaining 7 years of certain patents, amortized at
  60. approximately $7 million per year. Atari will therefore receive a
  61. total of $50 million, less Atari's contingent attorney fees and costs.

  63.   - Sega will purchase approximately 4.7 million shares of Atari
  64. common stock for a total price of $40 million.
  65.  
  66.   - Both companies will enter into software license agreements for a
  67. specified number of games that would be made available on each
  68. company's present and future platforms.

  70.   - Atari will dismiss its legal proceedings against Sega, and each
  71. company will release all claims against the other.
  72.  
  73. The agreements are subject to approval by the United States Department
  74. of Justice and the Federal Trade Commission under Hart-Scott-Rodino
  75. and to certain other conditions.

  77. "We are extremely pleased with this relationship that has potential
  78. long-term benefits for both companies," said David Rosen, Co-Chairman
  79. of Sega of America.

  81. "We at Atari are very pleased with this new affiliation. The increased
  82. cash position will be used among other things to enhance our marketing
  83. position this fall," said Sam Tramiel, President, CEO of Atari Corp.

  85. Atari designs and markets interactive multimedia entertainment systems
  86. and is located in Sunnyvale, California.
