  1.                                LICENSE AGREEMENT

  4.         1. LICENSE GRANT.  Gemini Software Corporation ("Gemini") grants
  5.                 to you (either as an individual or entity) a personal, 
  6.                 non-transferable, and non-exclusive right to use the copy
  7.                 of the object code version of the software provided with
  8.                 this license.  The term of this Agreement will be for the
  9.                 duration of Gemini's copyright in the software.  You agree
  10.                 you will not copy the software except as necessary to use
  11.                 it on a single computer system.  You agree that you may 
  12.                 not copy the written materials accompanying the software.
  13.                 You may assign your rights  under this Agreement to a 
  14.                 third party who agrees in writing to be bound by this
  15.                 Agreement prior to the assignment and provided that you
  16.                 transfer all copies of the software and related 
  17.                 documentation to the third party or destroy any copies 
  18.                 not transferred.  Except as set forth above, you may not
  19.                 assign your rights under this Agreement.

  21.         2. COPYRIGHT.  You acknowledge that no title to the intellectual
  22.                 property in the software is transferred to you.  You 
  23.                 further acknowledge that the title and full ownership 
  24.                 rights to the software will remain the exclusive property
  25.                 of Gemini or its suppliers, and you will not acquire any
  26.                 rights to the software except as expressly set forth 
  27.                 above.  You agree that any copies of the software will
  28.                 contain the same proprietary notices which appear on
  29.                 and in the software.

  31.         3. REVERSE ENGINEERING.  You agree that you will not attempt,
  32.                 and if you are a corporation, you will use your best 
  33.                 efforts to prevent your employees and contractors from
  34.                 attempting, to reverse compile, modify, translate, or 
  35.                 disassemble the software in whole or in part.

  37.         4. DISCLAIMER OF WARRANTY.  THIS SOFTWARE IS SOLD "AS IS" AND
  38.         WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR 
  39.         IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
  40.         WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  41.         PARTICULAR PURPOSE.  THE ENTIRE RISK AS TO THE QUALITY
  42.         AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.  SHOULD
  43.         THE SOFTWARE PROVE DEFECTIVE, YOU (AND NOT GEMINI 
  44.         SOFTWARE CORPORATION) ASSUME THE ENTIRE COST OF ALL 
  45.         NECESSARY SERVICING, REPAIR OR CORRECTION.  Some states
  46.         do not allow the exclusion of implied warranties, so the
  47.         above exclusion may not apply to you.  This warranty gives
  48.         you specific legal rights and you may also have other 
  49.         rights which vary from state to state.  Gemini Software
  50.         Corporation does not warrant that the functions contained
  51.         in this software will meet your requirements or that
  52.         operation of the software will be uninterrupted or 
  53.         error free.

  55.         5. CUSTOMER REMEDIES.  Gemini's entire liability and your sole
  56.                 and exclusive remedy shall be, at Gemini's option, either
  57.                 to [a] correct the error, [b] help you work around the
  58.                 error, or [c] authorize a refund, so long as the software,
  59.                 documentation and diskettes are returned to Gemini with a
  60.                 copy of your receipt.  This remedy is void if failure of
  61.         the software has resulted from accident, abuse, or
  62.         misapplication.  Any replacement software will be 
  63.                 warranted for the remainder of the original warranty period.

  65.         6. SEVERABILITY.  In the event of invalidity of any provision of
  66.                 this Agreement, the parties agree that such invalidity 
  67.                 shall not affect the validity of the remaining portions
  68.                 of this Agreement.

  70.         7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT SHALL GEMINI
  71.                 BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL,
  72.                 OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE USE OF
  73.                 THE GEMINI SOFTWARE, EVEN IF GEMINI HAS BEEN ADVISED OF THE
  74.                 POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT WILL GEMINI'S
  75.                 LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR 
  76.                 ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE
  77.                 PAID BY YOU.

  79.         8. EXPORT.  You agree that you will not export or re-export the 
  80.                 software without the appropriate United States or foreign
  81.                 government licenses.
  82.  
  83.         9. GOVERNING LAW.  This Agreement will be governed by the laws 
  84.                 of the State of Maryland as they are applied to 
  85.                 agreements between Maryland residents entered into and
  86.                 to be performed entirely within Maryland.  The United
  87.                 Nations Convention on Contracts for the International Sale
  88.                 of Goods is specifically disclaimed.
  89.  
  90.         10. ENTIRE AGREEMENT.  This is the entire Agreement between you
  91.                 and Gemini which supersedes any prior agreement, whether
  92.                 written or oral, relating to the subject of this Agreement.
