  1. Delrina (Canada) Corporation

  3. Attention: The software program and other materials in this 
  4. package are provided to you under the terms of the license 
  5. agreement below and are not sold to you.
  6.  
  7. End User License Agreement FOR SAMPLERS ONLY
  8.  
  9. A.    License
  10.  
  11. Delrina (Canada) Corporation and any company controlling it, 
  12. controlled by it, or with which it is under common control, 
  13. ("we", "us" or "our"), provides the Licensee ("you" or "your") 
  14. with a computer program ("the Program") and a license.  If 
  15. you are receiving the Program from an electronic service, we 
  16. provide you with a file of the computer program, which contains 
  17. a license (either version being called "the Package") and 
  18. grants to you a license to use the Package in accordance with 
  19. the terms of this Agreement.
  20.  
  21. B.    Intellectual Property
  22.  
  23. Ownership of the copyright, trademark and all other rights, 
  24. title and interestin the Package, as well as any copies, 
  25. modifications or merged portions made of the Program shall at 
  26. all times remain with us or licensors to us. You must fully 
  27. reproduce any copyright or other notices marked on any part of 
  28. the Program on all copies of same. This Package is protected 
  29. by local and international intellectual property laws, which 
  30. apply but are not limited to our copyright, trademark and patent 
  31. rights, and by international treaty provisions.

  33. C.    User License
  34.  
  35. (I)    You may: 
  36.  
  37. (1) use the Program on an unlimited number of computers; 
  38. (2) make additional copies of the Program for distribution, 
  39. provided that you do not receive any compensation or other 
  40. economic gain in exchange for such copies.
  41.  
  42. (II)    You may not: 
  43. (1) make copies of, rent or lease, the Program for compensation; 
  44. (2) translate, reverse engineer, decompile or disassemble the 
  45. Program;  or (3) modify the Program.
  46.  
  47. D.    Warranty
  48.  
  49. If you are receiving the Program on a diskette supplied by 
  50. Delrina, we warrant that the diskette in this Package will be 
  51. free from defects in materials and workmanship for ninety (90) 
  52. days from the date of delivery to you. If a defect occurs within 
  53. that time, return it to us at the address below and we will 
  54. replace it at no charge. During the warranty period we may 
  55. refuse to honor any claim if the defect has resulted from 
  56. accident, abuse or misuse. This remedy is your exclusive remedy 
  57. for breach of this warranty.

  59. E.    Limitation of Warranties and Liability
  60.  
  61. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, WE MAKE NO OTHER 
  62. WARRANTIES WITH RESPECT TO THE PACKAGE, AND IT IS PROVIDED ON 
  63. AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS, EXPRESS OR 
  64. IMPLIED.  THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF 
  65. THE PACKAGE IS ASSUMED BY YOU.  WE SHALL NOT HAVE ANY LIABILITY 
  66. TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, 
  67. INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES WHATSOEVER, 
  68. INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE OR PROFIT, LOST 
  69. DATA, OR OTHER COMMERCIAL OR ECONOMIC LOSS, EVEN IF WE HAVE BEEN 
  70. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; OR FOR CLAIMS BY A 
  71. THIRD PARTY, NOR SHALL OUR DIRECTORS, AGENTS, LICENSORS TO US, 
  72. EMPLOYEES OR REPRESENTATIVES HAVE SUCH LIABILITY.  OUR MAXIMUM 
  73. AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY 
  74. YOU FOR THE PACKAGE.  THIS WARRANTY GIVES YOU SPECIFIC RIGHTS 
  75. AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION 
  76. TO JURISDICTION.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION 
  77. OF IMPLIED WARRANTIES AND DO NOT PERMIT THE EXCLUSION OR 
  78. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES.  THEREFORE, 
  79. THE FOREGOING EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU.
  80.  
  81. F.    Indemnity
  82.  
  83. You expressly save and hold us, our subsidiaries, agents, 
  84. affiliates and licensors to Delrina harmless from any and all 
  85. liability of any kind or nature whatsoever to your customers, 
  86. distributors and third parties which may arise from your acts 
  87. under this Agreement.
  88.  
  89. G.    General
  90.  
  91. (a)    THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT WITH 
  92. RESPECT TO THE PACKAGE AND SUPERSEDES ANY OTHER AGREEMENT OR 
  93. DISCUSSIONS, ORAL OR WRITTEN.  THIS AGREEMENT MAY NOT BE 
  94. CHANGED OR WAIVED EXCEPT BY A WRITTEN AMENDMENT SIGNED BY YOU 
  95. AND ONE OF OUR SIGNING OFFICERS.  NO OTHER PERSON HAS THE 
  96. AUTHORITY ON OUR BEHALF TO CHANGE OR WAIVE THIS AGREEMENT.
  97.  
  98. (b)    A waiver by either party of any term or condition of 
  99. this Agreement will not be deemed a waiver of the term for the 
  100. future, or of any subsequent breach of it.
  101.  
  102. (c)    The invalidity or unenforceability of any provision of 
  103. this Agreement will not affect the validity or enforceability 
  104. of any other provision. Such invalid or unenforceable provision 
  105. shall be deemed to be severed from this Agreement and the 
  106. Agreement shall be construed as if such provision was never 
  107. inserted into it.
  108.  
  109. (d)    This Agreement shall be governed and construed in 
  110. accordance with the laws of the Province of Ontario, excepting 
  111. its conflict of laws provisions.
  112.  
  113. (e)    No action, regardless of form, arising out of this 
  114. Agreement, may be brought by you more than two years after the 
  115. facts giving rise to the cause of action have occurred, whether 
  116. those facts by that time are known to or reasonably ought to 
  117. have been discovered by you.
  118.
