  5.    OPEN COUNTRY, INC.
  6.    END-USER LICENSE AGREEMENT
  7.    IMPORTANT - READ CAREFULLY:

  9.    This Open Country End-User License Agreement ("EULA") is a legal agreement
  10.    between you (either a single entity or an individual) and Open Country, Inc.
  11.    ("Open Country"), for OC-Manager(tm), OC-Agent(tm), OC-Host(tm),
  12.    OC-Admin(tm) and all other Open Country products, which includes computer
  13.    software in source and binary form, scripts and other human and machine
  14.    readable instructions, graphics, media, printed materials and on-line
  15.    documentation ("SOFTWARE" or "SOFTWARE PRODUCT"). This agreement
  16.    specifically excludes computer software in source and binary form licensed
  17.    under the terms of the GNU General Public License. By downloading, copying,
  18.    installing or otherwise using the SOFTWARE PRODUCT, you agree to be bound by
  19.    the terms of this EULA. If you do not agree to the terms of this EULA, do
  20.    not download or install the SOFTWARE or promptly return SOFTWARE PRODUCT to
  21.    the place from which you obtained it for a full refund.

  23.    1. LICENSE GRANT. Subject to the terms set forth in this EULA, you may use
  24.    the enclosed SOFTWARE PRODUCT solely for internal business or personal use
  25.    in the country in which the SOFTWARE PRODUCT was furnished to you.  The
  26.    SOFTWARE PRODUCT is licensed on a per-computer basis, meaning that a
  27.    separate copy of SOFTWARE PRODUCT must be purchased for each computer system
  28.    using this SOFTWARE PRODUCT. The only right granted to you under this
  29.    Agreement is a non-transferable right to use SOFTWARE and to make and use
  30.    one backup copy of SOFTWARE for archival purposes only. No license, right,
  31.    or interest in any trademark, trade name, or service mark of Open Country or
  32.    any third party from whom it has acquired license rights is granted you
  33.    under this EULA. No part of the documentation may be reproduced or
  34.    transmitted in any form or by any means, electronic or mechanical, including
  35.    photocopying and recording, for any purpose without the written permission
  36.    of Open Country. The SOFTWARE PRODUCT is and shall remain at all times the
  37.    property of Open Country or of the third party from whom Open Country has
  38.    acquired license rights and you shall have no right, title or interest
  39.    therein except as expressly set forth in this Agreement. You may not reverse
  40.    engineer, modify, copy, distribute or otherwise transfer the SOFTWARE
  41.    PRODUCT or divulge methods and techniques illustrated in SOFTWARE PRODUCT to
  42.    third parties. Use, duplication, or disclosure by the Government is subject
  43.    to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in
  44.    Technical Data and Computer Software clause at DFARS 252.227-7013 or
  45.    subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted
  46.    Rights at 48 CFR 52.227-19, as applicable.

  48.    2. AUDIT RIGHTS. OPEN COUNTRY may audit your facilities to verify that you
  49.    have complied with the terms of this Agreement. OPEN COUNTRY agrees to
  50.    conduct an audit at any site no more than once each year, and to provide you
  51.    at least three days advance notice of an audit.

  53.    3. LIMITATION OF LIABILITY AND WARRANTIES. OPEN COUNTRY warrants that it has
  54.    the right to license the SOFTWARE PRODUCT to you. OPEN COUNTRY MAKES NO
  55.    OTHER REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SOFTWARE PRODUCT,
  56.    EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING THE IMPLIED WARRANTIES OF
  57.    MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF
  58.    THIRD PARTY RIGHTS. THE TOTAL LIABILITY, IF ANY, OF OPEN COUNTRY SHALL NOT
  59.    EXCEED THE AMOUNT OF MONIES PAID BY YOU TO OPEN COUNTRY IN THE MOST RECENT
  60.    TWELVE MONTH PERIOD. IN NO EVENT WILL OPEN COUNTRY BE LIABLE FOR LOSS OF
  61.    PROFITS, OR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR FOR
  62.    LOSS OR INACCURACY OF DATA.

  64.    4. TERMINATION. This EULA will automatically terminate upon breach of any
  65.    term of this Agreement by you. Upon termination, your license to use
  66.    SOFTWARE PRODUCT will immediately terminate and you shall certify that you
  67.    have returned all original materials and destroyed all backup or production
  68.    copies of the SOFTWARE PRODUCT and related documentation.

  70.    5. GENERAL. This EULA is between the parties with respect to the subject
  71.    matter hereof and shall be construed in accordance with the laws of the
  72.    State of California. The prevailing party in any legal proceeding brought by
  73.    one party against the other party and arising out of or in connection with
  74.    this Agreement, shall be entitled to recover its legal expenses, including
  75.    reasonable attorneys' fees, court costs and expert witness fees.
