  1. NcFTP Software End-user License Agreement.
  2.  
  3. GRANT.  NcFTP Software grants you a non-exclusive license to use this version
  4. of the NcFTPd Server software (the "Software") thirty (30) days free
  5. of charge for evaluation and trial purposes only, after such period you
  6. agree to pay for the Software or cease using the Software. To pay for the
  7. software ("License the Software"), you must either:
  8.  
  9.     purchase a fifty (50) user, single machine license at the
  10.     price of US$129.00;
  11.     
  12.     or purchase an unlimited user, single machine license at the
  13.     price of US$199.00;
  14.  
  15. This license does not entitle you to hard-copy documentation, support or
  16. telephone assistance.  NcFTP Software reserves the right at any time to alter
  17. prices, features, specifications, capabilities, functions, licensing
  18. terms, general availability of the Software.
  19.  
  20. REDISTRIBUTION.  NcFTP Software allows redistribution of the Software,
  21. excluding source code and licensing information.
  22.  
  23. DISCLAIMER OF WARRANTY.  The Software is provided on an "AS IS" basis,
  24. without warranty of any kind, including without limitation the warranties
  25. of merchantability, fitness for a particular purpose and non-infringement.
  26. The entire risk as to the quality and performance of the Software is borne
  27. by you.  Should the Software prove defective, you and not NcFTP Software or
  28. its suppliers assume the entire cost of any service and repair.  In addition,
  29. the security mechanisms implemented by NcFTP Software software have inherent
  30. limitations, and you must determine that the Software sufficiently meets
  31. your requirements.  This disclaimer of warranty constitutes an essential
  32. part of the agreement.  SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF
  33. AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU
  34. MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.
  35.  
  36. LIMITATIONS.  You may not:
  37.     permit other individuals to use the Software except under the terms
  38.     listed above;
  39.  
  40.     Use the Software on two (2) or more machines concurrently (except
  41.     when each computer Licensed the Software separately);
  42.  
  43.     modify, translate, reverse engineer, decompile, disassemble (except
  44.     to the extent applicable laws specifically prohibit such restriction),
  45.     or create derivative works based on the Software;
  46.  
  47.     rent, lease, grant a security interest in, or otherwise transfer
  48.     rights to the Software; or
  49.  
  50.     remove any proprietary notices or labels on the Software.
  51.  
  52. TITLE.  Title, ownership rights, and intellectual property rights in the
  53. Software shall remain in NcFTP Software and/or its suppliers.  The Software
  54. is protected by copyright and other intellectual property laws and by
  55. international treaties.  Title and related rights in the content accessed
  56. through the Software is the property of the applicable content owner and
  57. may be protected by applicable law.  This license gives you no rights
  58. to such content.
  59.  
  60. TERMINATION.  The license will terminate automatically if you fail to
  61. comply with the limitations described herein.  Upon termination of this
  62. license, you agree to destroy all copies of the Software.
  63.  
  64. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  65. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL NCFTP SOFTWARE OR ITS
  66. SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR
  67. ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY
  68. CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL,
  69. WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  70. COMMERCIAL DAMAGES OR LOSSES.  IN NO EVENT WILL NCFTP SOFTWARE BE LIABLE
  71. FOR ANY DAMAGES, EVEN IF NCFTP SOFTWARE SHALL HAVE BEEN INFORMED OF
  72. THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
  73. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR
  74. PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.
  75. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION
  76. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION
  77. MAY NOT APPLY TO YOU.
  78.  
  79. HIGH RISK ACTIVITIES.  The Software is not fault-tolerant and is not
  80. designed, manufactured or intended for use or resale as on-line control
  81. equipment in hazardous environments requiring fail-safe performance,
  82. such as in the operation of nuclear facilities, aircraft navigation
  83. or communication systems, air traffic control, direct life support
  84. machines, or weapons systems, in which the failure of the Software
  85. could lead directly to death, personal injury, or severe physical or
  86. environmental damage ("High Risk Activities").  NcFTP Software and its
  87. suppliers specifically disclaim any express or implied warranty of
  88. fitness for High Risk Activities.
  89.  
  90. MISCELLANEOUS.  This Agreement represents the complete agreement
  91. concerning this license and may amended only by a writing executed
  92. by both parties.  If any provision of this Agreement is held to be
  93. unenforceable, such provision shall be reformed only to the extent
  94. necessary to make it enforceable.  This Agreement shall be governed by
  95. Nebraska law (except for conflict of law provisions).  The application
  96. the United Nations Convention of Contracts for the International Sale
  97. of Goods is expressly excluded.
