  3.                            DECLARATION OF NOMINEE TRUST
  4.

  6.  
  7.                 The undersigned, ___________________ of __________ 
  8.         County, State of _____________ (the "Trustee" hereunder), 
  9.         hereby declares that any and all property and interest in 
  10.         property that may be transferred to him as Trustee hereunder 
  11.         ("the Trust Estate"), shall be held in trust, for the sole 
  12.         benefit of the beneficiaries for the time being hereunder, upon 
  13.         the terms herein set forth.  The term "Trustee" wherever used 
  14.         herein shall mean the Trustee or Trustees named herein and such 
  15.         person or persons who hereafter are serving as Trustee or 
  16.         Trustees hereunder, and the rights, powers, authority and 
  17.         privileges granted hereunder to the Trustee shall be exercised by 
  18.         such person or persons subject to the provisions hereof.  
  19.  
  20.                 1.  BENEFICIARIES:  The term "Beneficiaries" wherever 
  21.         used herein shall mean the beneficiary or beneficiaries listed in 
  22.         the Schedule of Beneficial Interests this day executed and filed 
  23.         with the Trustee, or in the revised Schedule of Beneficial 
  24.         Interests, if any, from time to time executed and filed with the 
  25.         Trustee.  The Trustee shall not be affected by any assignment or 
  26.         transfer of any beneficial interest until receipt by the Trustee 
  27.         of notice that such assignment or transfer has in fact been made 
  28.         and a revised Schedule of Beneficial Interests shall have been 
  29.         duly executed and filed with the Trustee.  Any Trustee may 
  30.         without impropriety become a beneficiary hereunder and exercise 
  31.         all rights of a beneficiary with the same effect as though he 
  32.         were not a Trustee.  
  33.  
  34.                 2.  DUTIES OF TRUSTEE:  The  Trustee shall hold the 
  35.         principal of this Trust for the benefit of the beneficiaries, and 
  36.         shall immediately pay over any income received to the 
  37.         beneficiaries in proportion to their respective interests.
  38.  
  39.                 3.  POWERS OF THE TRUSTEE:  The Trustee shall have no 
  40.         power to deal in or with the Trust Estate except as directed by 
  41.         the beneficiaries.  When, as, if and to the extent specifically 
  42.         directed by the beneficiaries, any one of the Trustees shall have 
  43.         the power to:
  44.  
  45.                 (a)  Buy or otherwise acquire, to hold, to exchange or 
  46.         partition, to sell at public or private sale, and to mortgage, 
  47.         pledge or otherwise encumber or dispose of all or any part of the 
  48.         Trust Estate; and to execute any and all deeds, promissory notes, 
  49.         mortgages and other instruments necessary or appropriate 
  50.         therefore;

  52.                 (b)  To lease and sublease all or any part of the Trust 
  53.         Estate for such term(s) and on such terms as the Trustee deems 
  54.         advisable; 
  55.  
  56.                 (c)  Contest or compromise any claims in favor of or 
  57.         against or in any way relating to the Trust Estate.
  58.  
  59.                 Any and all instruments executed pursuant to such 
  60.         directions may create obligations extending over any periods of 
  61.         time including periods beyond any possible termination date of 
  62.         the Trust.  Notwithstanding any provisions contained herein, no 
  63.         Trustee shall be required to take any action which will, in the 
  64.         opinion of such Trustee, involve him in any personal liability 
  65.         unless first indemnified to his satisfaction.  Any person dealing 
  66.         with the Trustee shall be fully protected in accordance with the 
  67.         provisions of Paragraph 7 hereof.

  69.                 4.  TERMINATION:  The Trust may be terminated any time by 
  70.         any one or more of the beneficiaries by notice in writing to the 
  71.         Trustee, but such termination shall only be effective when a 
  72.         certificate thereof signed and acknowledged by a Trustee 
  73.         hereunder shall be recorded with _________ County 
  74.         _________(State) Registry of Deeds (hereinafter the "Registry"  
  75.         see also Paragraph 9 hereof); and the Trust shall terminate in 
  76.         any event twenty (20) years from the date hereof.  In case of any 
  77.         such termination, the Trustee shall transfer and convey the 
  78.         specific assets constituting the Trust Estate, subject to any 
  79.         leases, mortgages, contracts or other encumbrances on the Trust 
  80.         Estate, to the then beneficiaries as tenants in common in 
  81.         proportion to their respective interests hereunder.

  83.                 5.  RESIGNATION AND APPOINTMENT OF SUCCESSOR TRUSTEES:  
  84.         Any Trustee hereunder may resign by written instrument signed and 
  85.         acknowledged by such Trustee and recorded with the Registry.  
  86.         Succeeding or additional Trustees may be appointed or any Trustee 
  87.         may be removed by an instrument or instruments in writing signed 
  88.         by all the beneficiaries, provided in each case that such 
  89.         instrument or instruments, or a certificate signed by any Trustee 
  90.         naming the Trustee or Trustees appointed or removed, and in the 
  91.         case of any appointment, the acceptance in writing by the Trustee 
  92.         or Trustees appointed, shall be recorded with the Registry.  Upon 
  93.         the appointment of any succeeding or additional Trustee, the 
  94.         title to the Trust Estate shall thereupon and without the 
  95.         necessity of any conveyance be vested in said succeeding or 
  96.         additional Trustee jointly with the remaining Trustee or 
  97.         Trustees, if any.  Each succeeding and additional Trustee shall 
  98.         have the rights, powers, authority and privileges as if named as 
  99.         an original Trustee hereunder.  No Trustee shall be required to 
  100.         furnish bond.

  102.                 6.  AMENDMENT:  This Declaration of Trust may be amended 
  103.         from time to time by an instrument in writing signed by all the 
  104.         beneficiaries and acknowledged by one or more of the 
  105.         beneficiaries, provided in each case that the instrument of 
  106.         amendment, or a certificate by any Trustee setting forth the 
  107.         terms of such amendment, shall be recorded with the Registry 
  108.         prior to the amendment being effective as to any party who does 
  109.         not have actual notice thereof.

  111.                 7.  TRUSTEE LIABILITY; RELIANCE OF PURCHASERS AND OTHERS: 
  112.         No Trustee hereunder shall be liable for any error of judgment or 
  113.         for any loss arising out of any act or omission in good faith, 
  114.         but shall be responsible only for his/her own willful breach of 
  115.         trust.  No license of court shall be requisite to the validity of 
  116.         any transaction entered into by the Trustee.  No purchaser, 
  117.         transferee, pledgee, mortgagee or other lender shall be under any 
  118.         obligation to see to the application of the purchase money or of 
  119.         any money or property loaned or delivered to any Trustee or to 
  120.         see that the terms and conditions of this Trust have been 
  121.         complied with.  Every agreement, lease, deed, mortgage, note, or 
  122.         other instrument or document executed or action taken by any one 
  123.         Trustee appearing as a Trustee hereunder from the records of the 
  124.         Registry, shall be conclusive evidence in favor of every person 
  125.         relying thereon or claiming thereunder that at the time of the 
  126.         delivery thereof or of the taking of such action this Trust was 
  127.         in full force and effect, that the execution and delivery thereof 
  128.         or taking of such action was duly authorized, empowered and 
  129.         directed by the beneficiaries, and that such instrument or 
  130.         document or action is valid, binding and legally enforceable.  
  131.         Any person dealing with the Trust Estate or the Trustee may 
  132.         always rely without inquiry on the certificate signed by any 
  133.         Trustee appearing as a Trustee hereunder from the records of the 
  134.         Registry as to whom is the Trustee or whom are the Trustees or 
  135.         the beneficiaries hereunder, or as to the authority of the 
  136.         Trustee to act, or as to the existence or non-existence of any 
  137.         fact or facts which constitute conditions precedent to acts by 
  138.         the Trustee or which are in any other manner germane to the 
  139.         affairs of the Trust.

  141.                 8.  NO PERSONAL LIABILITY:  No Trustee or beneficiary of 
  142.         this Trust shall be held personally or individually liable for 
  143.         any of the obligations incurred or entered into on behalf of the 
  144.         Trust and each person who deals with the Trustee shall look 
  145.         solely to the Trust Estate for satisfaction of any claims which 
  146.         such person may have against the Trust.

  148.                 9.  RECORDATION:  The term "Registry" as used herein 
  149.         shall mean the _______________ County _________________(State) 
  150.         Registry of Deeds; provided that if this Declaration of Trust is 
  151.         recorded or filed for registration in any other public office 
  152.         within or without the ____________(State), any person dealing 
  153.         with portions or all of the Trust Estate as to which documents or 
  154.         instruments are recorded or filed for registration in such other 
  155.         public office in order to constitute notice to persons not 
  156.         parties thereto may rely on the state of the record with respect 
  157.         to this Trust in such other public office, and with respect to 
  158.         such portions or all of the Trust Estate the term "Registry" as 
  159.         used herein shall also mean such other public office.

  161.                 10.  MISCELLANEOUS:  Whenever applicable, the use of the 
  162.         singular number herein shall include the plural and the use of 
  163.         the plural shall include the singular number.  The use of the 
  164.         masculine gender shall also include the feminine, wherever 
  165.         applicable.  All paragraph titles are supplied for convenience of 
  166.         reference only and shall not govern the meaning or interpretation 
  167.         of this Declaration of Nominee Trust.
