  3.                            EMPLOYEE INVENTION AGREEMENT

  6.  
  7.                 In consideration of the undersigned being employed by 
  8.         __________________________(Company); the undersigned hereby 
  9.         agrees as follows: 
  10.  
  11.                 1.  The undersigned, during the course of employment, 
  12.         shall promptly disclose in writing to the Company all inventions, 
  13.         discoveries, concepts, developments and innovations, conceived in 
  14.         whole or in part by the undersigned or through assistance of the 
  15.         undersigned, directly or indirectly and whether conceived or 
  16.         developed during working hours or not, which: 
  17.  
  18.                 (a)  Result from any work performed on behalf of Company, 
  19.         or pursuant to a research project for the Company, or 
  20.  
  21.                 (b)  Relate in any manner to the existing or contemplated 
  22.         business of the Company, or 
  23.  
  24.                 (c)  Result from the use of the Company's time, material, 
  25.         employees or facilities.  
  26.  
  27.                 2.  The undersigned hereby assigns to the Company, its 
  28.         successors and assigns, all right, title and interest to said 
  29.         inventions, concepts or innovations.  
  30.  
  31.                 3.  The undersigned shall, at the Company's request, 
  32.         execute specific assignments to any such invention concept or 
  33.         innovation and execute, acknowledge, and deliver any additional 
  34.         documents required to obtain letters,patent,trademark or 
  35.         copyright in any jurisdiction and shall, at the Company's request 
  36.         and expense, assist in the defense and prosecution of said 
  37.         letters,patent,trademark or copyright as may be required by 
  38.         Company.  This provision shall survive termination of employ with 
  39.         the Company.
