  3.                               BULK SALE'S AGREEMENT
  4.                                Bulk Sales Contract
  5.  
  6.  
  7.                 l.  PARTIES.  This contract is made this __________,19___  
  8.         between ___________________ of __________________, herein called 
  9.         "Sellers," and ___________________, herein called "Buyer."
  10.  
  11.                 2.  AGREEMENT TO SELL.  The Sellers shall sell to the 
  12.         Buyer, and the Buyer shall buy from the Sellers, all of that 
  13.         certain stock of goods, wares and merchandise belonging to the 
  14.         Sellers, and now located in the storeroom at _______________, 
  15.         together with all furniture and fixtures therein, belonging to 
  16.         the Sellers.

  18.                 3.  STORE CLOSED FOR INVENTORY.  Upon the execution and 
  19.         delivery of this contract, properly signed and executed, and 
  20.         the payment of the earnest money hereinafter mentioned, the store 
  21.         shall be closed temporarily, and an inventory taken immediately, 
  22.         and delivered to the Buyer, at the invoice cost $______________, 
  23.         without including transportation charges or expenses, deducting, 
  24.         however, any depreciation on account of damages, wear and tear.

  26.                 4.  INVOICE VALUATION OR ARBITRATION.  The goods, wares 
  27.         and merchandise and furniture and fixtures shall be inventoried 
  28.         at ___________________.

  30.                 5.  TIME TO COMPLETE INVENTORY.  Ten days shall be 
  31.         allowed to complete the inventories, upon which date all of the 
  32.         property shall be thereupon delivered by the Sellers to the 
  33.         Buyer.

  35.                 6.  DEPOIT IN ESCROW TO SECURE COMPLIANCE WITH BULK 
  36.         SALES LAW.  The Buyer, in consideration of the premises, shall, 
  37.         upon the execution of this contract, deposit in escrow in the 
  38.         _____________ Bank, the sum of $___________ as earnest money to 
  39.         bind the trade, the sum to be returned to the Buyer in case the 
  40.         Sellers fail to make good title to the property, and upon the 
  41.         consummation of the deal and the tender of the Sellers to the 
  42.         Buyer of their certain bill of sale to the property, showing that 
  43.         the Sellers have complied with all the requirements and 
  44.         conditions of the Bulk Sales Law of ________________ and that 
  45.         they will furnish to Buyer a full and complete list of all 
  46.         creditors of the store, together with the amounts due the 
  47.         creditors, that the creditors shall be immediately paid in full 
  48.         such amounts as may be due them, and that the total amount shown 
  49.         to be due by the Sellers shall be deposited in escrow in 
  50.         _____________ Bank, until all creditors of the store shall give a 
  51.         release of their claim against the store, or the individual 
  52.         members thereof, the Buyer shall pay to the Sellers the total 
  53.         amount of the invoice in cash and the payment shall be accepted 
  54.         in full payment for the property.

  56.                 7.  LIQUIDATED DAMAGES.  All the stipulations, agreements 
  57.         and conditions contained in this contract are to apply to and to 
  58.         bind the heirs, executors and administrators of the respective 
  59.         parties hereto, and, in case of failure, the parties bind 
  60.         themselves each to the other in the sum of $____________ Dollars, 
  61.         as fixed and settled damages to be paid by the failing party.
