  3.                                ASSIGNMENT OF LEASE

  7.                 For good and valuable consideration, receipt of which is 
  8.         hereby acknowledged, _____________________, as Tenant, 
  9.         ______________________ as Landlord, and _____________________ as 
  10.         Assignee, hereby agree to the following assignment of lease:

  12.                 Tenant hereby assigns, transfers and conveys to Assignee 
  13.         all his rights and interests under a certain lease dated 
  14.         ______________,19__["Lease"] (a copy of which is annexed hereto) 
  15.         by and between the Tenant and Landlord for the premises described 
  16.         as:

  19.                 This assignment shall remain in full force and effect

  21.         term, subject to all conditions, including payment of rents, all 
  22.         covenants, conditions and terms of the within Lease.

  25.         shall not discharge Tenant of its obligations under the Lease in 
  26.         the event of breach by the Assignee.

  30.         assigns.
