  3.                              ASSIGNMENT OF COPYRIGHTS

  8.                 _________________________ (Seller) owns all copyrights

  10.         and other rights to and wishes to assign those rights to

  12.         ______________________(Buyer).

  15.                    In consideration for the payment described in the

  17.         following section of this agreement Seller hereby transfers and 
  18.         
  19.         assigns all copyrights and all other rights in ______________

  24.         to Buyer. Buyer shall have the right to register the copyright in

  26.         Buyer's own name and shall have the exclusive right to dispose of

  28.         the copyright in any way Buyer sees fit.  Seller retains no

  30.         rights whatsoever.

  33.                    The assignment of this section shall take effect on

  38.                    In consideration of the Assignment described above

  40.         Buyer shall pay Seller the sum of $__________ on

  47.                    Seller warrants that Seller has the legal right to

  49.         grant Buyer the assignment set out in of this agreement

  51.         and that such assignment does not infringe any third parties'

  55.                    Seller warrants that there are no pending lawsuits

  57.         concerning any aspect of the copyright and that the copyright has 
  58.         
  59.         not been published in such a way as to lose any of its copyright 
  60.         
  61.         protection.

  63.                     This Agreement is freely assignable by both parties.

  65.                     This Agreement is binding upon and shall inure to the 
  66.         
  67.         benefit of the legal successors and assigns of the parties.
