  3.                               CANCELLATION OF LEASE

  7.                 Whereas, __________________________________ as Landlord 
  8.         and ______________________________ as Tenant executed a certain 
  9.         lease dated ___________,19___ for the premises described 
  10.         as follows:

  15.                 Whereas, the parties desire to cancel said Lease;

  17.                 Now, therefore, in consideration of the mutual promises 
  18.         contained herein and for other good and valuable consideration, 
  19.         receipt of which is hereby acknowledged; the parties hereby 
  20.         terminate and cancel said lease effective _______________, 19__ 
  21.         as of which time, Tenant agrees to vacate said premises.  All 
  22.         rights and obligations of the parties under said lease shall be 
  23.         cancelled and discharged as of said date except those rights and 
  24.         obligations accruing prior to said date and which have not been 
  25.         exercised, performed or discharged.

  27.                 This Agreement shall be binding upon, and inure to the 
  28.         benefit of, the parties hereto, their heirs, successors and 
  29.         assigns.
