  3.                                      GUARANTY

  6.                 The undersigned, in consideration of _________________     
  7.         (hereinafter referred to as the "Lender") having made a loan to 
  8.         _____________________(hereinafter referred to as the "Borrower") 
  9.         hereby unconditionally guarantees to the Lender the prompt 
  10.         payment on all amounts now owing or which may hereafter be owing 
  11.         to the Lender from the Borrower on account of such loans, or any 
  12.         extension or renewal thereof, however and whenever made; 
  13.         provided, however, that the obligation of the Undersigned 
  14.         hereunder shall not exceed the maximum amount of ____________ 
  15.         ($         ) DOLLARS.  This undertaking shall operate as a 
  16.         continuing and absolute guaranty and shall remain in full force 
  17.         and effect until the actual receipt by the Lender of a revocation 
  18.         in writing signed by the Undersigned, it being understood that 
  19.         any such revocation shall be effective only as to additional new 
  20.         loans or credits after the receipt thereof.

  22.                 Notice of the acceptance of this guaranty and notice of 
  23.         transactions entered into in reliance hereon are hereby waived.  
  24.         The Undersigned agrees that liability hereunder shall not be 
  25.         affected by any extension of time or other forbearance or 
  26.         indulgence of favor granted to Borrower, or by the release or 
  27.         modification of any security or the release of any guarantor, 
  28.         whether or not notice thereof shall be given to the Undersigned, 
  29.         or by the neglect or failure of the Lender to take any action 
  30.         with respect to any security, right, obligation, endorsement or 
  31.         guaranty which it may at any time hold, or by any change by the 
  32.         Borrower in the former manner of doing business, whether by 
  33.         incorporation, consolidation, merger, partnership formation or 
  34.         change in membership, or otherwise.

  36.                 The Undersigned also waives all requirements of notice, 
  37.         demand, presentment or protest in case of any default by Borrower 
  38.         and any right which the Undersigned might otherwise have required 
  39.         the Lender first to proceed against the Borrower or against any 
  40.         co-guarantor or any other person or first to realize on any 
  41.         security held by it before proceeding against the Undersigned for 
  42.         the enforcement of this guaranty.

  44.                If there be more than one guarantor executing this 
  45.         guaranty, their obligation hereunder shall be joint and several.  
  46.         In that case the word "Undersigned", shall be deemed to apply 
  47.         against each guarantor and the Lender shall be entitled to full 
  48.         recovery of the obligation of this guaranty against each, but 
  49.         shall retain only one satisfaction.

  51.                 This instrument is intended to take effect as a sealed 
  52.         instrument and the validity and construction hereof shall be 
  53.         determined by the law of the state of ______________________.
