  1. Zip Up The Web End User License Agreement
  2.  
  3. IMPORTANT:  PLEASE READ THIS AGREEMENT CAREFULLY
  4.  
  5. This License Agreement is a legal agreement between you, either an 
  6. individual or entity, and Insight Development Corporation ("Insight") 
  7. concerning the use of the accompany software program and documentation 
  8. (collectively, the "Software").  By installing the Software you indicate
  9. your complete acceptance of the terms and conditions of this Agreement.

  12. LICENSE:  You may make one copy of the Software for back-up purposes.  
  13. You may not electronically transfer the Software from one computer to 
  14. another over a network.  You may not modify, translate, adapt, reverse 
  15. engineer, decompile, disassemble, or make derivative works based on the 
  16. Documentation without the prior written consent of Insight.  You have 
  17. the non-exclusive right to use and display the Software on a single 
  18. computer only.  You may physically transfer the Software from one 
  19. computer owned and leased by you to another provided that the Software
  20. is installed on only one computer at a time.  If you wish to use the 
  21. Software on more than one computer, you must license another copy of 
  22. the Software for each computer.

  24. LIMITED WARRANTIES:  Insight warrants to you, as the original licensee 
  25. only, that the Software shall operate substantially as described in the 
  26. Documentation.

  28. DISCLAIMER OF WARRANTIES:  THE WARRANTIES SET FORTH ABOVE 
  29. ARE IN LIEU OF ALL OTHER WARRANTIES AND REPRESENTATIONS, 
  30. EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES OF 
  31. MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE AND 
  32. NON-INFRINGEMENT OF THIRD PARTY RIGHTS.  No dealer, agent 
  33. or other third party is authorized to make modifications, 
  34. extensions, or additions to the warranties in this 
  35. Agreement.

  37. LIMITATION OF REMEDIES:  In no event shall Insight nor anyone else who 
  38. has been involved in the creation, production or delivery of the Software
  39. or Documentation be liable for any special, incidental, or consequential 
  40. damages whether based upon breach of warranty, breach of contract, 
  41. negligence, strict liability in tort, or any other legal theory.  
  42. Such damages include but are not limited to, loss of profits, loss of 
  43. savings or revenue, loss of use of the Software or any associated 
  44. equipment or software, cost of capital, cost of any substitute equipment, 
  45. facilities, or services, downtime, the claims of third parties including 
  46. customer, and injury to property.  Some states do not allow the 
  47. exclusion or limitation of incidental or consequential damages so 
  48. the above limitations or exclusions may not apply to you.

  50. LIMITATION OF LIABILITY:  IN NO EVENT SHALL ANY 
  51. LIABILITY OF INSIGHT (WHETHER BASED ON AN ACTION OR 
  52. CLAIM IN CONTRACT, TORT, OR OTHERWISE) TO YOU OR ANY 
  53. OTHER PARTY EXCEED THE LICENSE FEE OR PURCHASE PRICE 
  54. CHARGED BY INSIGHT FOR THE PRODUCT CAUSING THE INJURY 
  55. ON WHICH SUCH ACTION OR CLAIM IS BASED.

  58. TERM:  This Agreement is effective from the date of original purchase of 
  59. the Software and continues until it terminates as provided below or you 
  60. transfer it to another party pursuant to Section 6 above.  This Agreement
  61. will also terminate immediately, without notice from Insight if you fail 
  62. to comply with any term or condition of this Agreement.  You agree upon 
  63. termination of this Agreement to immediately cease use of the Software 
  64. and to immediately destroy or return the Software and Documentation to 
  65. Insight.

  67. UPDATES AND TECHNICAL SUPPORT:  To be eligible to obtain updates of the 
  68. Software and technical support, you or the person to whom the Software 
  69. is transferred in accordance with Section 6, must Register your product 
  70. online at http://www.zipuptheweb.com, or return a completed Registration
  71. card to Insight.  If the product registration is not received by Insight,
  72. Insight is under no obligation to make available to you any updates or 
  73. technical support.  All updates provided to you shall become part of the 
  74. Software governed by the terms of this Agreement.  Insight agrees to 
  75. offer you updates in accordance with its then current update policy but 
  76. reserves the right to provide no updates, to charge a fee for updates or 
  77. to otherwise modify its update policy without notice.

  79. GOVERNING LAW:  This Agreement shall be governed by, and interpreted in 
  80. accordance with, the laws of the State of California.
  81.  
  82. SEVERABILITY:  If any provision of this Agreement is declared invalid or 
  83. unenforceable by a court of law, that provision shall be construed, 
  84. limited or modified to the extent necessary to eliminate its invalidity 
  85. or unenforceability, and the other provisions of this Agreement shall 
  86. remain unaffected.

  88. ENTIRE AGREEMENT:  This Agreement sets forth the entire understanding 
  89. between you and Insight and may be ammended only in writing signed by 
  90. both parties.
