  1. INTRODUCTION
  2.  
  3.     Neural Applications Corporation, 2600 Crosspark Road, Coralville,
  4. Iowa 52241 ("Neural"), is launching new services ("Services") to provide
  5. Internet users with a proprietary application program written in the Java(tm)
  6. language which will automatically access and retrieve current pricing
  7. information for a user with respect to a user identified stock portfolio and
  8. to review suggested stock predictions or ratings.
  9.  
  10.     This NETPROPHET(tm)  software ("Software") allows the user to access
  11. and use the Services.  Neural is offering the Software under a limited license
  12. to permit users to evaluate the Software and Services free of charge for a 
  13. limited period of time.  
  14.  
  15.     IF YOU, FOR PURPOSES OF THIS AGREEMENT "YOU" IS DEFINED AS AN
  16.     INDIVIDUAL AND THIS DEFINITION APPLIES TO THE USE OF YOU THROUGHOUT
  17.     THIS AGREEMENT, CHOOSE TO PROCEED TO USE THE SOFTWARE, YOU ARE AGREEING
  18.     TO THE TERMS AND CONDITIONS OF THE FOLLOWING LICENSE.  CAREFULLY READ
  19.     THE FOLLOWING LICENSE BEFORE USING THE SOFTWARE.  IF YOU DO NOT WISH TO
  20.     ENTER INTO THE FOLLOWING LICENSE, PRESS "DON'T AGREE" AND DELETE THE
  21.     SOFTWARE FROM YOUR SYSTEM.

  23. LIMITED NON-EXCLUSIVE LICENSE FOR NETPROPHET(tm)
  24.  
  25.     1.    USING THE SOFTWARE MEANS THAT YOU ARE ACCEPTING THE 
  26.         TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.  
  27.     
  28.     2.    Neural Applications Corporation, 2600 Crosspark Road,
  29.         Coralville, Iowa 52241 ("Neural") hereby grants you are
  30.         non-exclusive and limited license to use the accompanying
  31.         version of Neural's NETPROPHET(tm) software free of charge for
  32.         an evaluation period ("Evaluation Period"), solely for the
  33.         purposes of evaluating the Software and Services accessed by
  34.         the Software.  In consideration for the use of the Software,
  35.         you agree to be bound by the terms and conditions set forth
  36.         herein.  
  37.  
  38.     3.    The license shall run for the length of the Evaluation Period.
  39.         After termination of the Evaluation Period, you will have the
  40.         choice of discontinuing use of the Software or entering into a
  41.         fee-bearing license agreement with Neural.  The length     of the
  42.         Evaluation Period shall be determined solely by Neural.
  43.  
  44.     4.    The Software is owned and copyrighted by Neural.  Unauthorized 
  45.         reproduction of the Software is strictly prohibited and may
  46.         constitute copyright infringement, which may subject you to
  47.         civil and/or criminal penalties.  
  48.  
  49.     5.    You may not:
  50.  
  51.         (a)    permit unlicensed individuals to use the Software;
  52.  
  53.         (b)    modify, translate, reverse engineer, decompile, or
  54.             disassemble the Software (except to the extent
  55.             applicable laws specifically prohibit such
  56.             restriction);
  57.  
  58.         (c)    create derivative works based on the Software (i.e.
  59.             create a new program that incorporates all or part of
  60.             the Software);
  61.  
  62.         (d)    sell, lease, or otherwise transfer any copies of the
  63.             Software to third parties; 
  64.  
  65.         (e)    sublicense to any third party the rights granted in
  66.             this License Agreement; 
  67.  
  68.         (f)    redistribute, copy for redistribution or otherwise
  69.             publish any of the information accessed by the Software
  70.             that is related to predictions or ratings of stocks; 
  71.         or
  72.  
  73.         (g)    destroy or otherwise remove any proprietary notices or
  74.             labels on the Software.
  75.  
  76.     6.    DISCLAIMER OF WARRANTY.  THE SOFTWARE IS PROVIDED "AS 
  77.         IS."  NEURAL MAKES NO WARRANTIES WITH RESPECT TO THE SOFTWARE
  78.         OR THE INFORMATION AND SERVICES ACCESSED USING THE SOFTWARE. 
  79.         NEURAL HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED,
  80.         WITH RESPECT TO THE SOFTWARE AND INFORMATION AND SERVICES
  81.         ACCESSED USING THE SOFTWARE, INCLUDING THE WARRANTIES OF 
  82.         MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-
  83.         INFRINGEMENT.  THE ENTIRE RISK AS TO THE QUALITY AND
  84.         PERFORMANCE OF THE SOFTWARE AND THE QUALITY OF THE INFORMATION
  85.         AND SERVICES ACCESSED BY THE SOFTWARE SHALL BE BORNE ENTIRELY
  86.         BY YOU.  THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL 
  87.         PART OF THE AGREEMENT.  
  88.  
  89.     7.    LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND UNDER NO
  90.         LEGAL THEORY (TORT, CONTRACT OR OTHERWISE) SHALL NEURAL OR ITS
  91.         OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, DISTRIBUTORS
  92.         OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY
  93.         COSTS, CLAIMS, OR DAMAGES, INCLUDING WITHOUT LIMITATION ANY 
  94.         INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (SUCH
  95.         AS DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER
  96.         FAILURE OR MALFUNCTION), OR ANY OTHER COMMERCIAL DAMAGES OR
  97.         LOSSES, EVEN IF NEURAL HAS BEEN INFORMED OF THE POSSIBILITY OF
  98.         SUCH DAMAGES, COSTS, LOSSES OR CLAIMS.

  100.     8.    Should the Software prove defective, you shall assume the
  101.         entire cost of any service and repair.  
  102.  
  103.     9.    Stock prediction information and historical market data are
  104.         updated daily on Neural's internet file servers.  Readers
  105.         should     not assume that the recommendations made will be 
  106.         profitable or will equal the performance of any past 
  107.         recommendations. The recommendations and the contents of the
  108.         electronic publications have been compiled from original and
  109.         published sources believed reliable by Neural but are not
  110.         guaranteed as to accuracy or completeness. Neural and
  111.         associated individuals may, at times, hold positions in    the
  112.         investments recommended in the NETPROPHET(tm) publications.

  114.     10.    This License Agreement shall be governed by the law of the 
  115.         State of Iowa, excluding its choice of laws provisions.  
  116.  
  117.     11.    If any provision of this License Agreement shall be
  118.         unenforceable or invalid under any applicable law or be so
  119.         held by applicable court decision, such enforceability or
  120.         invalidity shall not render this License Agreement
  121.         unenforceable or invalid as a whole, and, in such event, such
  122.         provision shall be changed and interpreted so as to best 
  123.         accomplish the objectives of such unenforceable or invalid 
  124.         provision within the limits of applicable laws or applicable
  125.         court decisions.

  127.     12.    You agree that you shall not use the Software or the
  128.         information or Services accessed by the Software for any 
  129.         unlawful purpose.
  130.  
  131.     13.    This License Agreement may be terminated by Neural at any time
  132.         without cause.   
  133.  
  134.     14.    JAVA(tm) and other JAVA-based names are trademarks of Sun 
  135.         Microsystems, Inc., and refer to Sun's family of JAVA-branded
  136.         technologies.  
  137.  
  138.     15.    You agree to cease use of the Software upon any expiration or 
  139.         termination of this Agreement.
