1.3 Steering committee
The steering committee consists of Marcus Ingemansson (Project Manager, SAIDA), Peter Molin (HoD, SAIDA), Anders Angelhag (Customer, Sydkraft) and Hans Ottosson (Customer, EnerSearch).
2 Obligations and commitments
2.1 Vendor's obligations
The vendor is obliged to deliver the software according to the delivery plan (see [3.3], "Delivery plan").
2.1.1 Standards
The development process of the vendor will comply to the Course Quality Manual [QMG 96].
2.1.2 Maintenance
The vendor has no obligations to maintain the system after the final delivery (see [3.3], "Delivery plan").
2.1.3 Support
The vendor has no obligation to support the system after the final delivery (see [3.3], "Delivery plan").
2.2 Customer's obligations
The Customer is obliged to supply for the project:
- 34302 LNS Early Access Program - LCA (see [3.3.1], "Disclaimer").
- 33300 LCA Field Compiler API - LCA (see [3.3.1], "Disclaimer").
- One IBM compatible Pentium 90 PC with at least 16 MB RAM, 1 CD-ROM, Windows NT, 15" screen, mouse.
The Customer is obliged to evaluate and give feedback on each part of the delivery within one week.
3 Delivery
3.1 Date and location
The final delivery (see [3.3], "Delivery plan") shall be made on 1996-05-30, 13.00. The vendor has no obligations according to this contract after 1996-06-07.
The location of the delivery will be:

Brunnsparken
Ronneby
3.2 Delivery scope
In each separate delivery step (see [3.3], "Delivery plan") the following shall be delivered:
- Executable program files available via FTP and installed on the EnerSearch PC (see [2.2], "Customer's obligations") at SIKT.
- Installation manual in hardcopy format and also available via FTP.
- User manual in hardcopy format and also available via FTP.
- Documents describing solution decisions in hardcopy format and also available via FTP.
- Documents describing features in hardcopy format and also available via FTP.
In the final delivery (see [3.3], "Delivery plan") step the following shall be delivered:
- Program code on CD-ROM and installed on the EnerSearch PC (see [2.2], "Customer's obligations") at SIKT.
- Executable program files on CD-ROM and installed on the EnerSearch PC (see [2.2], "Customer's obligations") at SIKT.
- Installation manual in hardcopy format and also available via FTP.
- User manual in hardcopy format and also available via FTP.
- Documents describing solution decisions in hardcopy format and also available via FTP.
3.3 Delivery plan
In each part of the delivery plan, the vendor shall specify the requirements fulfilled by the specific part. For further explanation of the included parts in each of the deliveries (see [SAIDA 96-3]).
Delivery 1, 1996-04-11, 13.00 (Thursday, week 15) will include:
- Data server without event handler
- WWW interface
Delivery 2, 1996-04-25, 13.00 (Thursday, week 17) will include:
- Data server with event handler
- Remote Data Navigator
Delivery 3, 1996-05-09, 13.00 (Thursday, week 19) will include:
Delivery 4, 1996-05-15, 13.00 (Wednesday, week 20) will include:
- E-mail handler
- E-mail interpreter
Delivery 5 (final delivery), 1996-05-30, 13.00 (Thursday, week 22) will include:
- Remote Development Environment
- Alarm Handler
3.3.1 Disclaimer
- All of the delivery dates stated above are dependent on the early delivery of LCA. If LCA is not delivered to the vendor at the latest during week 11, renegotiations may be necessary and may at any time be initiated by the vendor.
- If Network OLE is not delivered before March 31, full functionality can not be delivered as planned. In that case a renegotiation of the delivery plan must be made.
- The delivery plan may change at any time in agreement with the Customer due to feedback received from the Customer.
3.4 Acceptance criteria
Before each delivery, conditions for accepting the delivery shall be agreed upon. These acceptance criteria shall be stated in detail in the specific part delivery contract.
3.5 Remarks
The Customer has the option to initiate a renegotiation if he/she presents, to the vendor, any remarks about the delivery no later than one week after each delivery (see [6.2], "Delivery remarks".
4 Product ownership
4.1 Copyright
The Customer has the exclusive rights to everything included in the final delivery.
5 Price
SEK 0:-
5.1 Damage regulations
The Customer has no right to claim of damages for late delivery.
5.2 Legal problems
Legal disagreement shall be settled by the steering committee.
6 Renegotiations
Generally, renegotiations may be initiated at any time by both parties, except renegotiations concerning delivery remarks (see [3.5], "Remarks").
The following procedures describes how two cases of renegotiations shall proceed.
6.1 Contract and requirements specification
- The party that wishes to make a change to the contract or the requirements specification must contact the opposite party and acknowledge the proposal for change.
- The opposite party investigates if the change can be accepted. The response shall be delivered within three work days after the receipt of the proposal.
- If the proposal is accepted by the opposite party, a meeting shall be held where the decision for change will be made. A protocol shall be written and signed by both parties.
- If the proposal for change is not accepted by the opposite party, a negotiation shall be held by representatives from both parties.
6.2 Delivery remarks
- When the Customer has remarks about the delivery, he/she must inform the vendor about it.
- The Vendor investigates if the remark can be accepted. The response shall be delivered within three work days after the receipt of the remark.
- If the remark is accepted by the Vendor, a meeting shall be held where the decision to take action to address the remark will be made. A protocol shall be written and signed by both parties.
- If the remark is not accepted by the Vendor, a negotiation shall be held by representatives from both parties.
