SONGBIRD SOFTWARE LICENSE AGREEMENT

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING PHILIPS SONGBIRD. PHILIPS SONGBIRD MEANS SONGBIRD MEDIA PLAYER SOFTWARE AND ITS ACCOMPANYING DOCUMENTATION (“SONGBIRD MEDIA PLAYER”) AND THE SONGBIRD ADD-ON SOFTWARE AND ITS ACCOMPANYING DOCUMENTATION (ANY AND ALL OF THE FORGOING THE “SONGBIRD SOFTWARE”) DISTRIBUTED BY PHILIPS ELECTRONICS HONG KONG LIMITED. THE SONGBIRD SOFTWARE DOES NOT INCLUDE THIRD-PARTY ADD-ONS(AS DEFINED IN SECTION 4 BELOW). WITHOUT LIMITING SECTION 11 BELOW, NEITHER Pioneers of the Inevitable, Inc. (“POTI”) NOR PHILIPS ELECTRONICS HONG KONG LIMITED AND ITS AFFILIATES (COLLECTIVELY REFERRED TO AS “PHILIPS”) ARE RESPONSIBLE FOR THE OPERATION OF ANY THIRD-PARTY ADD-ON OR YOUR USE THEREOF AND NEITHER POTI NOR PHILIPS WILL HAVE ANY LIABILITY TO YOU RELATED THERETO.

CERTAIN FILES IN THIS BINARY APPLICATION (“BINARY”) ARE COPYRIGHT ┬⌐ 2005-2009 POTI, INC. CERTAIN FILES IN THIS BINARY MAY CONTAIN CODE FROM XUL RUNNER AND OTHER THIRD PARTY SOURCES, AS CALLED OUT IN SECTION 14, THE COPYRIGHT IN WHICH BELONGS TO THEIR RESPECTIVE COPYRIGHT HOLDERS. THESE FILES MAY INCLUDE MODIFICATIONS WHICH ARE COPYRIGHT ┬⌐ 2005-2009 POTI, INC. THIS BINARY ALSO CONTAINS TRADEMARKS OF POTI, INC. INCLUDING, BUT NOT LIMITED TO, THE NAME “SONGBIRD” LOGOS, ICONS, AND PAGE LAYOUT FILES (“FEATHERS”). POTI DOES NOT EXPRESS OR IMPLY ANY PERMISSION TO USE OR DISTRIBUTE THESE TRADEMARKS.

THIS SONGBIRD SOFTWARE LICENSE AGREEMENT (“AGREEMENT”) AND THE SONGBIRD PRIVACY POLICY LOCATED DIRECTLY BELOW THIS LICENSE AGREEMENT WHICH IS INCORPORATED HEREIN BY REFERENCE GOVERN USE OF THE SONGBIRD MEDIA PLAYER AND SONGBIRD SOFTWARE UNLESS YOU AND THE PIONEERS OF THE INEVITABLE, INC. (POTI) HAVE EXECUTED A SEPARATE AGREEMENT.

END USER DATA. WHEN YOU USE THE SONGBIRD SOFTWARE AS INTENDED, CERTAIN INFORMATION AND STATISTICAL DATA REGARDING YOUR USE (End User Data”) IS TRANSMITTED TO POTI. AS BETWEEN POTI AND PHILIPS, POTI IS RESPONSIBLE FOR THE COLLECTION AND USE OF END USER DATA VIA THE SONGBIRD SOFTWARE AND PHILIPS WILL NOT COLLECT ANY END USER DATA IN CONJUNCTION WITH YOUR USE THEREOF. PLEASE SEE THE SONGBIRD PRIVACY POLICY FOR FURTHER INFORMATION REGARDING THE USE AND DISCLOSURE OF INFORMATION COLLECTED THROUGH THE USE OF OUR SOFTWARE AND SERVICES. IF YOU DOWNLOAD, INSTALL OR USE THE SONGBIRD SOFTWARE YOU ACKNOWLEDGE AND AGREE THAT THE TRANSMISSION OF END USER DATA BY THE SONGBIRD MEDIA PLAYER OR SONGBIRD SOFTWARE AND THE COLLECTION OF END USER DATA IN ACCORDANCE WITH THE SONGBIRD PRIVACY POLICY IS WITH YOUR FULL KNOWLEDGE AND CONSENT.

POTI IS WILLING TO LICENSE THE SONGBIRD SOFTWARE TO YOU ONLY UPON THE CONDITION THAT YOU ACCEPT ALL THE TERMS CONTAINED IN THIS AGREEMENT. BY CLICKING ON THE I ACCEPT” BUTTON BELOW OR BY INSTALLING OR USING THE SONGBIRD SOFTWARE YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ALL OF ITS TERMS. IF YOU DO NOT ACCEPT ALL OF THE TERMS OF THIS AGREEMENT POTI IS UNWILLING TO LICENSE TO YOU THE SONGBIRD SOFTWARE AND YOU SHOULD NOT INSTALL OR USE ANY PART OF THE SONGBIRD SOFTWARE. IF YOU AGREE TO THESE TERMS ON BEHALF OF A BUSINESS, YOU REPRESENT AND WARRANT THAT YOU HAVE AUTHORITY TO BIND THAT BUSINESS TO THIS AGREEMENT, AND YOUR AGREEMENT TO THESE TERMS WILL BE TREATED AS THE AGREEMENT OF THE BUSINESS. IN THAT EVENT, “YOU” AND “YOUR” REFER HEREIN TO YOU AND THAT BUSINESS.

1.      License to Songbird Software.

1.      Grant. Subject to your compliance with the terms and conditions of this Agreement, POTI grants you a non-exclusive and non-transferable license for a single user to install and use the executable form of the Songbird Software, on a single computer or device, solely for your personal and non commercial purposes. You may make a single copy of the Songbird Software for backup purposes. POTI reserves all rights in the Songbird Software not expressly granted to you in this Agreement.
2.      Restrictions. Except as expressly specified in this Agreement, you may not: (a) copy or modify the Songbird Software; (b) transfer, sublicense, lease, lend, rent or otherwise distribute the Songbird Software to any third party; (c) make the functionality of the Songbird Software available to multiple users through any means, including, without limitation, by uploading the Songbird Software to a network or file-sharing service or through any hosting, application services provider, service bureau or any other type of services; or (d) use the Songbird Software in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Agreement. You acknowledge and agree that portions of the Songbird Software, including, without limitation, the source code and the specific design and structure of individual modules or programs, constitute or contain trade secrets of POTI and its licensors. Accordingly, you agree not to disassemble, decompile or otherwise reverse engineer any components of the Songbird Software provided in object code or any other POTI products or services, in whole or in part, or permit or authorize a third party to do so, except to the extent such activities are expressly permitted by law notwithstanding this prohibition.

2.      Proprietary Rights. The Songbird Media Player and Songbird Software are licensed, not sold. You agree that POTI owns all right, title and interest in and to the Songbird Media Player and Songbird Software, including without limitation all intellectual property rights therein. The Songbird Media Player and Songbird Software are protected by United States copyright law and international treaties. You will not delete or in any manner alter the copyright, trademark, and other proprietary rights notices or markings appearing on the Songbird Software as delivered to you.

3.      Disclaimer of Warranty. YOU ASSUME ALL RESPONSIBILITY AND RISK OF USE OF THE SONGBIRD MEDIA PLAYER AND SONGBIRD SOFTWARE POTI PROVIDES THE SONGBIRD MEDIA PLAYER AND SONGBIRD SOFTWARE ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND. POTI DOES NOT WARRANT THAT THE SONGBIRD MEDIA PLAYER AND SONGBIRD SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE SONGBIRD MEDIA PLAYER AND SONGBIRD SOFTWARE WILL BE ERROR-FREE. POTI EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND ANY WARRANTIES AND CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM POTI OR ELSEWHERE WILL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED IN THIS AGREEMENT.

4.      Third-Party Add-Ons. The Songbird website may contain user generated add-ons (including any add-ons uploaded, posted or submitted to the Songbird website by a third party) (“Third-Party Add-Ons”). Your use of any Third-Party Add-On is subject to any terms and conditions provided with such Third-Party Add-On. You assume all responsibility and risk of use of any Third-Party Add-On and POTI hereby disclaims any and all liability to you or any third party related thereto. POTI does not have any obligation to examine or scan Third-Party Add-Ons, for any purpose, and is not responsible for the accuracy, completeness, appropriateness or legality of any Third-Party Add-On. The fact that a Third-Party Add-On is available from the Songbird website is not an endorsement, authorization or representation of POTI’s affiliation with any third party, nor is it an endorsement of such Third-Party Add-On and you hereby waive, any legal or equitable rights or remedies you have or may have against POTI with respect thereto.

5.      Term and Termination.

1.      Term and Termination. This Agreement will commence on the date that you accept its terms by accessing or using the Songbird Software and will continue until terminated as provided hereunder. POTI may terminate this Agreement and any licenses granted hereunder immediately upon notice if you breach any term or condition in this Agreement. You may terminate the Agreement at any time by destroying all copies of the Songbird Software in your possession or control.
2.      Effect of Termination; Survival. Termination of this Agreement shall not constitute a waiver or release of, or otherwise be deemed to adversely affect, any rights, remedies or claims, whether for damages or otherwise, which POTI may have under this Agreement or which may arise out of such termination or expiration. Upon any termination or expiration of this Agreement, you agree to immediately cease using the Songbird Software and to return or destroy any copies of the Songbird Software in your possession or control. Sections 1.b, 2, 3, 4, 5.b, 6, 7 through 12 will survive termination or expiration of this Agreement.

6.      Representations and Warranties. You agree to comply with all applicable laws, rules and regulations when using the Songbird Software. You will not use the Songbird Media Player or Songbird Software to infringe anyone’s copyrights.

7.      No Obligation. POTI is not obligated to maintain or support the Songbird Media Player or Songbird Software, or to provide you with updates, fixes, or services related thereto.

8.      Government Users. Any use, duplication, or disclosure of the Songbird Software by the U.S. government is subject to the restrictions as set forth in this Agreement and as provided in DFARS 227.7202-1(a) and 227.7202-3(a) (1995), DFARS 252.227-7013(c)(1)(ii) (OCT 1988), FAR 12.212(a) (1995), FAR 52.227-19, or FAR 52.227-14 (ALT III), as applicable. Manufacturer is Pioneers of the Inevitable, Inc.

9.      Export Laws. You agree to comply fully with all U.S. export laws and regulations to ensure that neither the Songbird Software nor any technical data related thereto nor any direct product thereof are exported or re-exported directly or indirectly in violation of, or used for any purposes prohibited by, such laws and regulations.

10.   Indemnity. You agree to defend, indemnify and hold POTI and its officers, directors, and employees harmless from and against any loss, liability, costs or expenses (including but not limited to reasonable attorneys’ fees) arising from or incurred as a result of any third party claims, to the extent that such claims relate to or are based on your breach of this Agreement or your use of the Songbird Software.

11.   Limitations of Liability. IN NO EVENT WILL POTI OR PHILIPS BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) OR FOR THE COST OF PROCURING SUBSTITUTE PRODUCTS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SONGBIRD MEDIA PLAYER, SONGBIRD SOFTWARE AND ANY THIRD-PARTY ADD-ONS, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT POTI OR PHILIPS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. THE FOREGOING LIMITATIONS WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN ANY CASE, POTI’S OR PHILIPS’ ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS OF THE FEES THAT YOU PAID FOR THE SONGBIRD MEDIA PLAYER AND SONGBIRD SOFTWARE (IF ANY). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

12.   General Provisions. This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to or application of conflicts of law rules or principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply. You may not assign or transfer this Agreement or any rights granted hereunder, by operation of law or otherwise, without POTI’s prior written consent, and any attempt by you to do so, without such consent, will be void and of no effect. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise. Any notice or other communications to be given under this Agreement will be in writing and given (a) by POTI via email (in each case to the address that you provide), (b) posting on the Songbird website located at http://www.songbirdnest.com or (c) by you via email to support@songbirdnest.com or such addresses POTI may specify in writing. The date of receipt will be deemed the date on which such notice is transmitted. The failure by either party to enforce any provision of this Agreement will not constitute a waiver of future enforcement of that or any other provision. Any waiver, modification or amendment of any provision of this Agreement will be effective only if in writing and signed by authorized representatives of both parties. If any provision of this Agreement is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible and the other provisions will remain in full force and effect. This Agreement is the complete and exclusive understanding and agreement between the parties regarding its subject matter, and supersedes all proposals, understandings or communications between the parties, oral or written, regarding its subject matter, unless you and POTI have executed a separate agreement.

14.   Third Party Software. The Songbird Software is distributed with certain third party code that is licensed under the GNU Lesser General Public License (“LGPL”) and/or other open source licenses (“Open Source Code”), and Open Source Code is licensed in accordance with the applicable open source licenses. A copy of the LGPL and other applicable Open Source Licenses is included in this agreement. For a period of three years from the date of your purchase of the Software. POTI will at your request provide to you a copy of the source code for the code licensed under the LGPL, including any modifications made by POTI.  Please submit requests via mail to:  ATTN: POTI LGPL License Request, 2 Shaw Street, Second Floor, San Francisco, CA 94105.  Please include your email address as well as a physical mailing address so that we may get back in touch with you. POTI may charge reasonable shipping and handling charges for such distribution. To the extent that any of the terms and conditions of this Agreement conflict with any such open source licenses, the conflicting terms and conditions shall not apply to the corresponding Open Source Code. Third party software used in Songbird:

1.      FLAC libraries are distributed under the BSD License
2.      gettext is distributed under the GNU Lesser General Public License v2.1
3.      GLib is distributed under the GNU Library Lesser General Public License v2.0.
4.      CD lookup data is provided by Gracenote and subject to the Gracenote terms and conditions. If the Gracenote Addon is installed and used to perform album art lookups, portions of the content is copyright ┬⌐ Gracenote or its providers.
5.      GStreamer is distributed under the GNU Lesser General Public License v2.0 and v2.1
6.      libgpod is distributed under the GNU Lesser General Public License v2.0
7.      libiconv is distributed under the GNU Lesser General Public License v2.1
8.      Ogg is distributed under the Xiph.Org License

Songbird Privacy Policy

1. Introduction.

We are committed to handling information in a secure and responsible manner so that users may confidently enjoy a personalized experience through our websites and services. This privacy policy applies to all websites and services operated by Pioneers of the Inevitable, Inc. (“POTI”), including http://getsongbird.com/, and any applications made available by POTI. This policy describes information that POTI receives, gathers, manages, analyzes, and transfers and how POTI uses that information to bring you its websites and services. 2. Use of Information.

Some users of POTI websites and services provide us with personally-identifying information when registering to use our websites and services or when entering into transactions with us concerning paid-for products and services. 4. Public Information.

POTI may ask a user to provide it with a username to be used on its websites and services. Users may be asked to create user profiles within POTI websites and services. Usernames and profiles will be made available to the public. Users may choose to use POTI websites and services to make information public, for example, a user may use a POTI application to distribute information about himself or herself on a social network such as Facebook or Twitter. POTI cannot control how information is used and further disseminated by these social networks. POTI endeavors to give its users control over the distribution of information through its websites and services.

5. Information from Third Parties.

POTI may obtain from third parties information about users and the use of POTI websites and services by users. For example, a user may choose to use a POTI web service or web application upon a third party social network platform such as Facebook and to allow POTI to access personally-identifying and non-personally-identifying information gathered by such social network (for example, from Facebook, the user’s email address, user’s “likes,” and friend’s “likes”). POTI may combine such accessed information with other information and use it in accordance with this Privacy Policy.

6. Cross-Border Transfers.

POTI facilities and third parties with whom POTI shares information may obtain or process information outside of the country in which POTI originally received such information. As a result, use or disclosure of information may require transfer of that information to a country that mandates a lesser level of data protection than a user’s home country.

7. Security.

POTI undertakes a range of security measures including physical access restraints, technical security monitoring, and internal security reviews of the environment to help protect information from unauthorized access, alteration, disclosure, and destruction.

8. Other Sites and Services.

POTI websites and services may link to websites and services offered by third parties who maintain separate privacy policies. POTI web applications may interact with third party social network platforms such as Facebook. POTI suggests that its users read and understand the privacy policy of each party with whom the user engages.

9. Children.

Children under the age of 13 may not use POTI websites or services. If it comes to our attention that we have collected personally-identifying information from any person under the age of 13, we will endeavor to delete this information as soon as possible. Children between the ages of 13 and 17 should use POTI websites and services only with parental consent.

10. Access to Information.

Users may request access, correction, or deletion of personally-identifying information as required by law. POTI will seek to comply with any such request. Requests may be made to POTI at the addresses mentioned above.

11. Cookies and Web Beacons.

A cookie is a string of information that a website stores on a visitor’s device and that the visitor’s browser provides to the website each time the visitor returns. POTI uses cookies to help POTI identify and track visitors, their usage, and their access preferences. Users who do not wish to have cookies placed on their devices should set their browser to refuse cookies before using POTI websites and services, with the drawback that certain features of POTI websites and services may not function properly without the aid of cookies. If user does not enable cookies and or web beacons, POTI has no obligation to ensure proper functionality of POTI websites and or services. POTI websites and services may include advertisements and other content delivered by advertisers and other third parties. This privacy policy does not cover cookies set by any such parties. A web beacon is a small (often invisible) graphic image or other web programming code embedded in a web page or email. Web beacons or similar technologies may be used by POTI for a number of purposes, including to count visitors to POTI websites and services, to monitor how users navigate POTI services, and to count how many sent email messages are actually opened.

12. Business Transfers.

If POTI is acquired or sells all or a portion of its assets to another company, or declares bankruptcy, it is likely that information held by POTI will be transferred away from POTI.

13. Change of Policy.

POTI may change its Privacy Policy from time to time. Your use of a POTI website or services after a change means that you accept the changed policy. Users should check this page to review any changes. POTI will endeavor to notify all registered users of changes to this policy.

Gracenote® End User License Agreement

This application or device contains software from Gracenote, Inc. of Emeryville, California (“Gracenote”). The software from Gracenote (the “Gracenote Software”) enables this application to perform disc and/or file identification and obtain music-related information, including name, artist, track, and title information (“Gracenote Data”) from online servers or embedded databases (collectively, “Gracenote Servers”) and to perform other functions. You may use Gracenote Data only by means of the intended End-User functions of this application or device.

This application or device may contain content belonging to Gracenote’s providers. WM-DRM License Agreement
Content providers are using the Microsoft digital rights management technology for Windows Media (“WM-DRM”) to protect the integrity of their content (“Secure Content”) so that their intellectual property, including copyright, in such content is not misappropriated. Portions of this software and other third party applications (“WM-DRM Software”) use WM-DRM to transfer or play Secure Content.

If the WM-DRM Software's security has been compromised, owners of Secure Content (“Secure Content Owners”) may request that Microsoft revoke the WM-DRM Software's right to copy, display, transfer, and/or play Secure Content. Revocation does not alter the WM-DRM Software's ability to play unprotected content. A list of revoked WM-DRM Software is sent to your computer whenever you download a license for Secure Content from the Internet.

Microsoft may, in conjunction with such license, also download revocation lists onto your computer on behalf of Secure Content Owners. Secure Content Owners may also require you to upgrade some of the WM-DRM components distributed with this software (“WM-DRM Upgrades”) before accessing their content. When you attempt to play such content, WM-DRM Software built by Microsoft will notify you that a WM-DRM Upgrade is required and then ask for your consent before the WM-DRM Upgrade is downloaded. WM-DRM Software used by third parties may do the same.

If you decline the upgrade, you will not be able to access content that requires the WM-DRM Upgrade; however, you will still be able to access unprotected content and Secure Content that does not require the upgrade.
