[ST] SGS-THOMSON Microelectronics ANNOUNCES NEW SUPERVISORY BOARD MEMBERS

Increase supervisory board to seven members

July 1, 1996 - The Annual Shareholders meeting which took place in Amsterdam on June 24th, 1996, to approve the 1995 annual accounts of SGS-THOMSON Microelectronics NV (STM) decided:
- to increase the number of Supervisory Board members from 6 to 7,
- to reappoint the existing members of the Supervisory Board for a new three year term,
- to appoint Dr. Robert White as a new member of the Supervisory Board for a 3 year term

Dr. White is Professor and Head of the Electrical and Computer Engineering Department at Carnegie Mellon University and serves as a member of several corporate and academic boards. From 1990 to 1993, Dr. White served as Under Secretary of Commerce for Technology in the United States Government. He has published four books, three of which have been translated into foreign languages, and over a hundred articles in the field of physics.
The Supervisory Board which met on June 24, 1996 following the Shareholders meeting decided to appoint:
Mr. Bruno Steve as its Chairman,
and
Mr. Jean-Pierre Noblanc as its Vice Chairman.

Furthermore, the Annual Shareholder meeting decided:
- to reappoint Mr. Pasquale Pistorio as the Company's President and CEO, for a new three year term,
- to appoint Price Waterhouse LLP as new auditors for the Company, replacing Arthur Andersen & Co. The change was made following a regular, periodic review and reflects no material disagreements between the Company and its prior outside auditor.
