EVALUATION LICENSE AGREEMENT
                    FOR IMPEL SOLUTIONS SOFTWARE 


IMPORTANT-READ CAREFULLY: THIS IMPEL SOLUTIONS EVALUATION LICENSE
AGREEMENT ("AGREEMENT") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER
AN INDIVIDUAL OR A SINGLE ENTITY) AND IMPEL SOLUTIONS CORPORATION
FOR THE IMPEL SOLUTIONS SOFTWARE ACCOMPANYING THIS AGREEMENT, WHICH
INCLUDES COMPUTER SOFTWARE AND MAY INCLUDE ASSOCIATED MEDIA, PRINTED
MATERIALS AND ONLINE OR ELECTRONIC DOCUMENTATION ("SOFTWARE"). BY
EXERCISING YOUR RIGHTS TO MAKE AND EVALUATE COPIES OF THE SOFTWARE,
YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT
AGREE TO THE TERMS OF THIS AGREEMENT, YOU MAY NOT EVALUATE THE
SOFTWARE. 


LICENSE AGREEMENT 

This is not free software. Subject to the terms below, you are hereby
licensed to use this Software for evaluation purposes without charge
for a period of 30 days. If you use this Software after the 30 day
evaluation period a registration fee is required. When payment is
received you will receive a registered version of the Software which
is subject to the Software License Agreement. If you choose not to
register the Software you must discontinue use and destroy all copies
of the Software and its documentation. 

Unregistered use of the Software after the 30 day evaluation period
is in violation of U.S. and international copyright laws. 


DISTRIBUTION

Provided that you verify that you are distributing the evaluation
version (select About from the Software Help menu) of the Software
you are hereby licensed to make as many copies of the evaluation
version of the Software and documentation as you wish; distribute
exact copies of the original evaluation version of the Software to
anyone; and distribute the evaluation version of the Software and
documentation in its unmodified form via electronic means. There is
no charge for any of the above.

You are specifically prohibited from charging, or requesting donations,
for any such copies, however made; and from distributing the software
and/or documentation with other products (commercial or otherwise)
without prior written consent from Impel Solutions Corporation.
