  1.             EVALUATION VERSION / SOFTWARE LICENSE AGREEMENT
  2.                        ACTUAL COPIES DISTRIBUTED

  4. THIS IS A LICENSE.  IT GIVES YOU CERTAIN LIMITED RIGHTS TO USE THE
  5. SOFTWARE AND SOFTWARE COPIES.  YOU DO NOT BECOME THE OWNER OF, AND
  6. GRANVILLE PUBLICATIONS SOFTWARE("GPS") RETAINS TITLE TO, ALL OF THE SOFTWARE
  7. AND SOFTWARE COPIES.  ALL RIGHTS NOT SPECIFICALLY GRANTED IN THIS
  8. LICENSE AGREEMENT ARE EXPRESSLY RESERVED BY GPS.

  10. DEFINITIONS:
  11.  
  12. The term "Software" as used in this Agreement means the computer
  13. program, UP YOUR CASH FLOW v. 3.5.1, contained in the disk(s) in this package.
  14.  
  15. The term "Software Copies" means the actual copies of all or any
  16. portion of the Software, including backups, updates, merged, or
  17. partial copies permitted hereunder or subsequently supplied by GPS.
  18.  
  19. The term "Retailer" refers to the supplier of the Software
  20. product to you.
  21.  
  22. REGISTRATION:
  23.  
  24. You must register the product within thirty (30) days of first
  25. use in order to receive ongoing technical support, manuals, and notice
  26. of new products or upgrades.  To register, you may write or call:

  34. Otherwise, the limited rights granted by this license expire and you
  35. must remove the software from your permanent storage device (hard
  36. disk).

  38. PERMITTED USES:
  39.  
  40. You may:
  41.  
  42. * Load into RAM and use the Software on a single terminal or a single
  43. work station of a computer (or its replacement).
  44. * Install the Software onto a permanent storage device (hard disk
  45. drive).
  46. * Make copies of the software provided that all documentation,
  47. license agreements, order forms, etc., are included. The thirty (30) 
  48. day trial period applies to every copy made of the software, after
  49. which the user must either register the software or remove the program
  50. from their hard drive.
  51.  
  52. USES NOT PERMITTED:
  53.  
  54. You may not:
  55. * Make copies of the Software, except as permitted above.
  56. * Use the Software in a network or multiple user arrangement.
  57. * Rent, lease, sub-license, time-share, lend, transfer, receive
  58. commercial benefit, or any consideration for the Software, Software
  59. Copies, or your rights under this license except that transfers may be
  60. made with GP's prior written authorization.
  61. * Alter, decompile, disassemble, modify, create derivative works, or
  62. reverse engineer the Software or Software Copies, or make any attempt
  63. to unlock or bypass the initialization system used on initialized
  64. disks.
  65. * Remove, obscure, or change any copyright, trademark notices, or this
  66. License Agreement as they may appear in the Software, documentation,
  67. user interface, menus, and magnetic media.
  68.  
  69. ADDITIONAL RESTRICTIONS:
  70.  
  71.      In the event this Software is of any of the following types,
  72. these additional restrictions apply:
  73.  
  74. * United States Domestic Products - Software and Software Copies may
  75. not be used outside the United States without the prior written
  76. authorization of GP.
  77. * International Products - The United States Department of Commerce
  78. imposes certain restrictions on exports of technical data including
  79. Software and Software Copies, to certain destinations.
  80. * United Kingdom Products - You may not use or resell the Software and
  81. Software Copies, outside E.E.C. member countries.
  82.  
  83. DURATION:
  84.  
  85. This Agreement is subject to registration as specified above,
  86. effective from the day you install the program on your hard drive
  87. and lasting for thirty (30) days.
  88.  
  89. If you breach this Agreement, GPS can terminate this license upon
  90. notifying you in writing.  You will be required to return all Software
  91. and Software Copies.  GPS can also enforce all other rights at law or
  92. in equity.

  94. GENERAL:
  95.  
  96. Up Your Cashflow (TM) is a registered trademark of Granville Publications.
  97. All rights are reserved worldwide.  This GPS product is NOT "Public
  98. Domain" and it is NOT "Freeware".  GPS is a copyrighted software
  99. product developed and owned by Granville Publications Software, located in 
  100. Los Angeles, California, U.S.A.  This Agreement represents our entire
  101. understanding and agreement regarding the Software and Software Copies
  102. and supersedes any prior purchase order, communications, advertising,
  103. or representations.  This licens may only be modified in a written
  104. amendment signed by an authorized GP officer.  If any provision of
  105. this Agreement shall be found to be unlawful, void, or for any reason
  106. unenforceable, it shall be deemed severable from, and in no way shall
  107. affect the validity or enforceability of, the remaining provisions of
  108. this Agreement.  This Agreement shall be governed by the laws of
  109. California.

  111. THIS PRODUCT IS LICENSED "AS IS" WITHOUT ANY WARRANTY OF
  112. MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, OR
  113. OTHERWISE; ALL WARRANTIES ARE EXPRESSLY DISCLAIMED.

  115. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, GPS
  116. SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO YOU FOR
  117. CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING BUT NOT
  118. LIMITED TO LOST PROFITS, EVEN IF GPS HAS BEEN APPRISED OF THE
  119. LIKELIHOOD OF SUCH DAMAGES OCCURRING.

  121. You acknowledge that you have read every provision of this Agreement.
  122.  
  123. U.S. GOVERNMENT RESTRICTED RIGHTS
  124.  
  125. The Software and Software Copies are provided with RESTRICTED RIGHTS. 
  126. Use, duplication, or disclosure by the Government is subject to
  127. restrictions as set forth in subdivision (c) (1) (ii) of the Rights in
  128. Technical Data and Computer Software Clause at 48 C.R.R.
