  1. This is a legal agreement between you ("End User") and us (WinAbility.com).
  2. By using StepUp'98 ("Software" or "Program") you are agreeing to be
  3. bound by the terms of this agreement.

  5. The SOFTWARE (including instructions for its use) is provided "AS IS"
  6. WITHOUT WARRANTY OF ANY KIND.

  9. WITH REGARD TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES

  29. "Evaluation Copy" means a copy of the Program you obtained from us or
  30. other source for evaluation purposes and which is described as 
  31. "Unregistered" in the "About" screen. An Evaluation Copy may be converted
  32. to the Licensed Copy by supplying the name of a registered user or
  33. institution and a correct Registration Code, which may be obtained from
  34. us or our authorized dealer(s).
  35.  
  36. "Licensed Copy" means a copy of the Program registered with us or
  37. with our authorized dealer(s), and which is described as "Registered to:
  38. <your name>" in the "About" screen. A Licensed Copy may be converted
  39. converted back into an Evaluation Copy  by resetting its registration 
  40. information.
  41.  
  42. "Registration Package" means all the materials you are obtaining from us
  43. or our authorized dealer after sending us your registration fee. In
  44. particular, Registration Package contains your personal Registration
  45. Code, allowing you to remove the registration reminder message and put
  46. your name in the "About" screen.
  47.  
  48. Grant of license.

  50. WinAbility.com grants to you the right to use the Software under the
  51. terms of this agreement. The software is in "use" on a computer when
  52. it is loaded into the temporary memory (i.e., RAM) of that computer.
  53.  
  54. This software is NOT a public domain or free program. It is owned by
  55. WinAbility.com and is protected by the United States and international
  56. copyright laws. Therefore, you must treat the Software like any other
  57. copyrighted material except that a limited right to make copies of the
  58. Software, subject to conditions of this license agreement, is granted
  59. to you. You may not copy any written or printed materials from your
  60. Registration Package and you may not rent or lease a Licensed Copy
  61. of the Software.

  63. TRIAL USE LICENSE

  65. WinAbility.com grants to you a limited license to use an Evaluation Copy of
  66. this software for evaluation purposes for a period not to exceed 14 days.
  67.  
  68. This period may be not a contiguous sequence of days. However, you should
  69. count a day as an evaluation day if you used the Program during that day
  70. at least once. The purpose of this evaluation period is to allow you to
  71. determine whether the program meets your needs before purchasing it.

  73. Once the evaluation period has ended, you MUST either purchase a license
  74. for continued use of the program, or stop using it.  Use of an Evaluation
  75. Copy beyond the end of the evaluation period without registering it is in
  76. violation of federal copyright laws.

  78. If you have sent out your registration fee, you may continue to use your
  79. Evaluation Copy beyond the end of the evaluation period until your
  80. Registration Package arrives.

  82. Obtaining a license for continued use of the Program.

  85. To obtain a license for continued use of the Software, you should send
  86. your name, address, and correct amount of the registration fee to our
  87. authorized dealer.  You may use order form(s) supplied with the
  88. documentation to the Software.  After getting your Registration Package,
  89. containing the Registration Code assigned to you, you may use that code
  90. to convert your Evaluation Copy of the Software into the Licensed one.
  91.  
  92. You agree to keep the Registration Code for your own use only and
  93. not share it with anybody else.
  94.  
  95. CONTINUED USE LICENSE
  96. ~~~~~~~~~~~~~~~~~~~~~
  97. WinAbility.com grants to you the right to use a Licensed Copy of the software,
  98. if you have registered (purchased a license for continued use) it with us
  99. or with our authorized dealer.
  100.  
  101. You may install a Licensed Copy of the software on more than one computer
  102. (for example, a desktop system and a portable notebook), provided that
  103. you are the only user of those computers and there is no possibility to
  104. use the Licensed Copy by anybody else.
  105.  
  106. If more than one user uses the Software at your location, each such user
  107. must purchase an individual license for continues use, or a site license
  108. for the total number of users must be purchased.
  109.  
  110. If the Licensed Copy you are using is registered to some other name, you
  111. MUST either unregister it by removing the registration information, or
  112. stop using it. Use of a Licensed Copy, registered to anybody else except
  113. you (or, for site license arrangements, to your organization), is in
  114. violation of copyright laws.
  115.  
  116. LIMITED DISTRIBUTION LICENSE
  117. ~~~~~~~~~~~~~~~~~~~~~~~~~~~~
  118. You may make as many copies of the Program as you wish, give it to
  119. others, upload it to any on-line service, BBS, FTP, or WWW site
  120. worldwide, include it in software collections such as CD-ROM disks,
  121. distribute it through Disk-of-the-Month (or Subscription) Distribution,
  122. and distribute it in any other possible way, as long as you:
  123.  
  124. -  do not share a Registration Code with anyone else and do not make
  125.    copies of any printed materials accompanying your Licensed Copy, if
  126.    the copy you use is a Registered Copy;
  127.  
  128. -  include ALL of the UNMODIFIED files, as listed in the VENDINFO.DIZ
  129.    file included with your copy. If any of the files or the VENDINFO.DIZ
  130.    file itself is missing, you should contact us, or the dealer you
  131.    obtained the Program from, to receive the complete set of files;
  132.  
  133. -  agree not to sell the Evaluation Copies of the Program or distribute
  134.    them to others for any kind of compensation or fee (small shipping and
  135.    handling fees are acceptable), unless you are an ASP approved Vendor
  136.    or you have received written permission from us; and your permission
  137.    to distribute the Program has not been revoked by us;
  138.  
  139. -  agree to inform the user(s) that the Evaluation Copy is to be used
  140.    for a time limited evaluation period, and that a license for its
  141.    continued use must be purchased once the evaluation period has
  142.    ended;
  143.  
  144. -  do not bundle the Program with any other software without our
  145.    written permission.
  146.  
  147. For other cases you must consult the attached data record of the
  148. VENDINFO.DIZ file, which is hereby incorporated by reference. Any
  149. distribution satisfying all the distribution requirements expressed in
  150. that data record is hereby authorized.
  151.  
  152. Permission to distribute the Software package is not transferable,
  153. assignable, saleable, or franchisable.  Each vendor wishing to
  154. distribute the package must independently satisfy the terms of
  155. this limited distribution license.
  156.  
  157. Other restrictions.

  159. You may not reverse engineer, decompile, or disassemble the Software. You
  160. are not allowed to make any modifications to, or to create derivative
  161. works from any of the files that are used in this software. This includes
  162. all the executable, help, installation, and documentation files, as well
  163. as graphics images. Any such unauthorized use shall result in immediate
  164. and automatic termination of this license.
  165.  
  166. LIMITED WARRANTY
  167. ~~~~~~~~~~~~~~~~
  168. The following limited warranty applies to Licensed Copies of the Program.
  169. This warranty does NOT apply to Evaluation Copies of the Program.
  170.  
  171. Satisfaction Guarantee.  If you are dissatisfied with any product you buy
  172. from us under this Agreement for any reason, you may return it at any
  173. time up to 30 days after purchase and we will give you a refund. Refunds
  174. will be based on the price you paid, with shipping costs excluded.  You
  175. must contact us before returning any product for a refund. This
  176. satisfaction guarantee does not apply to multi-system licenses for more
  177. than 10 computers, or to purchases of more than 10 individual copies at a
  178. time.
  179.  
  180. Physical Defects.  We pledge that the disks, if any, and any printed
  181. material we send you will arrive free of physical defects which interfere
  182. with normal use. If you find such a defect and report it to us within 30
  183. days after you get your Registered Package, we agree to replace the
  184. defective item(s) at no charge to you as long as the defect was not
  185. caused by misuse or abuse.

  187. Bugs and Program Errors.  We don't promise that the Software will be free
  188. of bugs or program errors, and you agree that bugs or program errors will
  189. not be considered as "physical defects" in the program. We agree that if
  190. you report a program error or bug to us, we will use our best efforts to
  191. correct it.

  193. DISCLAIMER OF LIABILITY

  196. WITHOUT WARRANTY OF ANY KIND. WinAbility further DISCLAIMS ALL

  198. ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS

  205. IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SOFTWARE BE LIABLE 
  206. FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES 
  207. FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
  208. INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR 
  209. INABILITY TO USE THE SOFTWARE OR DOCUMENTATION, EVEN IF WinAbility.com
  210. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
