  11. 1.  What is Share Net International?
  12.  
  13.     Share Net International Ltd (referred to as SNI), is an International
  14.     Computer Club that specialize in business, education, games, and
  15.     utilities.
  16.  
  17.     Traditionally, software authors have had two options to move their
  18.     software into the market place: retail it, or distribute it as shareware.
  19.     Retailing is not open to most shareware authors as it requires acceptance
  20.     by major software vendors.  Shareware distribution usually results in
  21.     high market penetration, but a very low level of registrations, and hence
  22.     an unfair and inadequate level of income to the author.  For most software
  23.     authors there has been no alternative until now!
  24.  
  25.     SNI are pioneering a new approach to marketing software.  We use a method
  26.     similar to shareware distribution, called Sharenetting. Software that is
  27.     sold through Sharenetting is called Payware. Payware is different to
  28.     shareware in two very significant ways:
  29.  
  30.         1. If you register the Payware that you use, you will be licensed to
  31.            distribute it as a vendor.  Simply spread the Payware as you would
  32.            shareware and get paid a commission by encouraging others to
  33.            register the copies that you supply.
  34.  
  35.         2. SNI guarantee to pay a ten percent royalty to the author on all
  36.            sales of the Authors own Payware registered with SNI (net of tax).
  37.  
  38.     Currently, a computer games addict has only the challenge of the game.
  39.     The vision of SNI is to create an international "computer club", with
  40.     world rankings and international tournaments for their most challenging
  41.     and popular games.  Play the game, get a high score, then place yourself
  42.     on the world hi-score table for that game!  SNI intend to provide a total
  43.     entertainment service, from which you can earn an income.
  44.  
  45.     We would like to hear from:

  50.            Small businesses,
  51.            Schools,
  52.            Parents, Teachers and PTA's,
  53.            Students,

  55.            Software Libraries.

  60. 2.  Commission Payments to Club Members
  61.  
  62.     SNI distribute fifty percent of the total income from registrations of
  63.     each Payware product as a commission payment to their club members.   
  64.  
  65.     In return, we expect our club members to share the Payware with their
  66.     friends, and encourage their friends to register it.
  67.  
  68.     SNI will only pay commission to club members who have:
  69.  
  70.         1. filled in and signed an application form, agreeing to the
  71.            conditions of club membership, and returned it to SNI;
  72.  
  73.         2. registered their copy of the Payware (the more Payware you buy,
  74.            the more you will be licensed to distribute and hence earn
  75.            commission from).
  76.  
  77.     The monthly commission entitlement of each club member will be calculated
  78.     and paid on a per-product basis, in two parts:
  79.  
  80.            Group commission;
  81.  
  82.            Sponsorship commission.
  83.  
  84.     You will be paid group commission on all Payware registrations that can
  85.     be traced back through you. As an example, a person's relative can be
  86.     traced back through their family tree.  As each descendent is born,
  87.     grows up and is married, so their family tree grows in width and depth.
  88.     Your group works on the same principle: all software registered originating
  89.     from your SNI membership number will be traced back to you and you will be
  90.     paid accordingly. You will have a different group for each Payware product.
  91.     You can therefore choose to spend time distributing the Payware that your
  92.     friends like best.

  94.     Sponsorship commission works on exactly the same basis as group commission,
  95.     except that it only applies to those club members to which you have
  96.     personally supplied a copy of the Payware.
  97.  
  98.     These payments are not one-off.  Your commission entitlement will be
  99.     re-calculated and paid to you monthly.  SNI have a minimum commission
  100.     payment (currently £10).  This minimum payment will vary occasionally,
  101.     to keep in line with the costs involved in making the payment.

  103.     Your income level from a Payware product may go down as that product gets
  104.     older, out of date and less popular (i.e. a larger slice of a smaller cake).

  107. 3.  Help our Charities
  108.  
  109.     The board of directors of SNI intend to pay an annual donation to charity.
  110.     We intend to support children's charities, nature and environmental
  111.     charities, and medical research into diseases such as MS, AIDS, etc.

  116. 4.  Joining the SNI Computer Club
  117.  
  118.     You may join SNI through other SNI club members such as friends, computer
  119.     clubs, schools, companies, and Bulletin Board Systems (BBSs), Software
  120.     Libraries, and magazines.  If you do not know of any existing SNI club
  121.     members, then apply directly to SNI.

  123.     There is no charge for joining as an SNI club member.  The only requirement
  124.     is that you register one or more SNI Payware products with your application
  125.     form.

  127.     Cheques must always be made payable to Share Net International Ltd.  Under
  128.     no circumstances should you be asked to make payment to another club
  129.     member for SNI products.
  130.  
  131.     You do not need promotional literature, working stock, training, or any
  132.     other such overheads.  You simply register each SNI Payware product that
  133.     you use, and are then free to supply as many copies as you like to your
  134.     friends, relatives, local schools, etc.
  135.  
  136.     Our club members are not employees of SNI, but they are seen in the eyes
  137.     of the law to be running an independent business: our club members earn
  138.     an income from sharing our software, and growing our club.  Because of
  139.     this, we may only accept club members over the age of 18.  SNI realises
  140.     that many of its potential club members will be under the age of 18.
  141.     SNI will therefore allow dependants of club members to take part in all
  142.     club competitions, tournaments, and other SNI sponsored activities.  To
  143.     take part in these club activities, dependants of club members are to be
  144.     named on their parent(s) or guardian(s) application form as junior club
  145.     members.

  147.     You must declare any income from SNI in your tax returns.
  148.  
  149.     Junior club members are not running a business, but they are to abide by
  150.     the conditions of club membership.  They may take part in club activities
  151.     but their parent(s) or guardian(s) must supply all copies of SNI software
  152.     to friends, schools, etc. For legal reasons, SNI may only pay commission
  153.     to full club members.

  156. 5.   Conduct and Ethics
  157.  
  158.     To ensure that we all grow as one very successful International Club, we
  159.     must all maintain the highest standards of conduct and ethics.  Any club
  160.     member found to be bringing the name of SNI, its club members, or its
  161.     authors into disrepute may, at the discretion of SNI, lose their SNI
  162.     membership and its benefits.  To protect our existing club members and
  163.     authors, SNI will almost certainly terminate the membership of any club
  164.     member found to be maliciously spreading one or more software viruses
  165.     and report them to the appropriate authorities.

  167.     Although SNI and their Payware authors endeavour to ensure top quality
  168.     products, neither SNI nor their Payware authors can accept liability for
  169.     problems encountered in the use of SNI Payware products. All SNI Payware
  170.     products are used at the sole risk of the user.
